Book-Entry Note definition

Book-Entry Note means a beneficial interest in the Notes, ownership and transfers of which shall be made through book entries by a Clearing Agency as described in Section 2.10 of the Indenture.
Book-Entry Note means a beneficial interest in any of the Class A-1 Notes, the Class A-2 Notes, the Class A-3 Notes and the Class A-4 Notes, in each case issued in book-entry form.
Book-Entry Note. Any Class A Note registered in the name of the Depository or its nominee, ownership of a security entitlement with respect to which is reflected on the books of the Depository or on the books of a Person maintaining an account with such Depository (directly or as an indirect participant in accordance with the rules of such Depository).

  • Upon issuance of any other Book-Entry Note to be held on deposit by the Global Agent, the Registrar or its duly appointed agent shall record the name of the applicable nominee of the applicable depositary as the registered Holder of such Book-Entry Note.

  • For purposes of any other Book-Entry Note deposited with or held on behalf of the applicable depositary (or any nominee of such depositary), such depositary (or such nominee) shall be considered the sole holder of any Notes related thereto.
