Common use of The Fee Clause in Contracts

The Fee. 3.1 The Company shall pay Agent a cash fee equal to 10.00% of the gross proceeds of the Offering (the "Cash Fee") as received by the Company from Agent's Proposed Investors. The Company shall also issue the Agent a warrant to purchase a number of the Company's common shares equal to 10.00% of the gross proceeds of the Offering (the "Warrant") as received by the Company from Agent's Proposed Investors. The Warrant shall have an exercise price equal to the lesser of the closing bid price of the Company's common stock on the day prior to the Closing or the price paid by Investor (the "Strike Price").
