Underlying Material definition

Underlying Material means, with respect to any Company Program, literary, musical, dramatic or other works, screenplays, stories, adaptations, scripts, treatments, formats, bibles, scenarios, characters, titles, and any and all other literary or dramatic materials of any kind upon which such Company Program is based, in whole or in part.
Underlying Material means the literary and other material from which a Motion Picture is derived or on which it is based, including all versions of the screenplay, all notes, memos, direction, comments, ideas, stage business and other material incorporated in any version of the Motion Picture, and, to the extent necessary rights and licenses have been duly obtained, all existing novels, stories, plays, songs, events, characters, ideas, or other works from which any version of the Motion Picture is derived or on which it is based.
Underlying Material means any material of whatever nature (whether specially commissioned for the Programme or pre-existing), including the Format, any Third Party Material, any literary, dramatic, artistic or musical material or library or other sound record or other material in which Intellectual Property Rights subsist, and which is incorporated into or synchronised with or forms part of, created, commissioned or otherwise produced in the course of production of the Programme or of which use is made in connection with the Programme;
