Supplier Parties definition

Supplier Parties means Supplier, its suppliers or Subcontractors of any tier, their respective parent company (if any), subsidiaries, affiliates, divisions, and their respective directors, officers, managers, members, shareholders, employees, agents, representatives, successors, and assigns.

Supplier Parties means Supplier, each Guarantor and any agent or representative of Supplier or any Guarantor, collectively and individually, for purposes of communications between the Supplier Parties and SellersFunding regarding the Transaction Documents and related commercial transactions. Supplier agrees that SellersFunding may contact the Supplier Parties as provided in this Section N. SellersFunding may contact the Supplier Parties for any lawful reason, including for the collection of amounts owed to SellersFunding and for the offering of products or services to Supplier in compliance with SellersFunding’s privacy policy in effect from time to time. No such contact will be deemed unsolicited. The Supplier Parties specifically agree that SellersFunding may (i) contact the Supplier Parties at any address (including email) or telephone number (including wireless cellular telephone or ported landline telephone number) as the Supplier Parties may provide to SellersFunding from time to time, even if the Supplier Parties asked to have Supplier’s number added to any state or federal do-not-call registry; (ii) use any means of communication, including, but not limited to, postal mail, electronic mail, telephone or other technology, to reach the Supplier Parties; (iii) use automatic dialing and announcing devices which may play recorded messages; and (iv) send text messages to any Supplier Party’s telephone. The Supplier Parties may withdraw this express written consent at any time by contacting SellersFunding at the address set forth in Section VI(A) of these Terms & Conditions and informing SellersFunding to discontinue sending notices to certain addresses or telephone numbers.

• The Supplier shall ensure that its employees and the Supplier Parties comply at all times with the confidentiality undertakings in section 14 which shall survive the expiry or the termination of this Service Order for any reason whatsoever.

• Subject to compliance by Supplier with these Terms and Conditions and with the rules, regulations and codes of conduct applicable to the Delivery Points, Purchaser shall afford Supplier’s employees and Supplier Parties access to the Delivery Points (or, where the Delivery Points are not controlled by Purchaser, Purchaser shall arrange for such access to be provided) during the regular operating hours of the Delivery Points, as may be necessary for the supply of Products.

• Supplier agrees that all Intellectual Property of Purchaser, its Affiliates and agents, shall remain the exclusive property of Purchaser, its Affiliates or agents, as the case may be, and that nothing in this Purchase Order or in the delivery of the Products grants to Supplier or any Supplier Parties or any other person any right in such Intellectual Property, except as expressly stated herein.

• In this Schedule A where a section states that certain specified insurance policies must be purchased and maintained to cover a specified activity and neither Supplier nor any of its employees or Supplier Parties will be undertaking such specified activity pursuant to this Purchase Order, such specified policy shall not be a required Insurance Policy for the purposes of this Purchase Order.

• It shall be Supplier’s responsibility to ascertain the content of such rules, regulations and policies and to ensure that its employees and Supplier Parties comply with them.

More Definitions of Supplier Parties

Supplier Parties mean all entities (including the UK limited liability partnership of Fifth Quadrant Data Ltd (the Supplier) that are members of the Fifth Quadrant Data Ltd worldwide network and each of their subsidiaries, predecessors, successors and assignees, and all partners, principals, members, owners, directors,employees and agents of all such entities. The Supplier (which for these purposes includes reference to its subsidiaries)uses the word “partner” in respect of its members and certain of its senior employees in its dealings with the Buyer to describe, respectively, a member and senior employee of Supplier in their capacity as such. The Supplier gives a number of its employees the title of “director”, which denotes that they are senior employees and not that they hold the office of director for the purposes of the Companies Act 2006. Supplier Parties means a Party that holds a Gas Supply Licence (whether or not that Party is also a Supplier Party and/or a DG Party).

Supplier Parties means the Supplier, its subcontractors (excluding the Subcontractor), and their Personnel.

Supplier Parties and "Supplier Party" shall each have the meaning given in clause 18.3.1.2;
