Special Distributions definition

Special Distributions means distributions designated as a capital gain dividend within the meaning of Section 875(b)(3)(C) of the Code and any other distribution that the General Partner determines is not made in the ordinary course.
Special Distributions has the meaning set forth in Section 5(c).
Special Distributions means (i) any distribution of an interest in one of the RemainCo Partnerships and (ii) any leveraged distribution.

Special Distributions has the meaning set forth in Section 2(c) hereof.
Special Distributions means dividends or distributions to Guarantor’s shareholders (a) in an amount not exceeding $93,000,000 made solely with the proceeds of an initial public offering of stock by Guarantor in an amount not less than $138,000,000; (b) in an amount not to exceed $33,800,000, and (c) any other amounts as have been paid prior to the date of this Agreement.

For the purposes of clarity, the $93,000,000 amount set forth in clause (a) consists of the existing $68,000,000 accrued dividend payable and the existing $25,000,000 Dividend Distribution Promissory Note dated December 31, 2008 (the “Dividend Note”) issued by Guarantor.
