Managing Member definition

Managing Member means CEF Equipment Holding, L.L.C., a Delaware limited liability company or any successor Managing Member under the Issuer Limited Liability Company Agreement.

Managing Member is defined in the recitals to this Agreement.

Managing Member means, as the context requires, the managing member of the Company or the managing member of a Series.

• In making such apportionment, the Managing Member shall take into account any amended tax returns for the reviewed year or tax attributes of a Member or former Member that result in a reduction in the imputed underpayment by crediting such Member or former Member with such reduction.
