London Branch at its principal office in London, as principal paying agent (the "Principal Paying Agent") for the Notes. The Bank hereby appoints you as its exclusive agent for the purpose of soliciting and receiving offers to purchase Notes from the Bank by others and, on the basis of the representations and warranties herein contained, but subject to the terms and conditions herein set forth, you agree to use reasonable efforts to solicit and receive offers to purchase Notes upon terms acceptable to the Bank at such times and in such amounts as the Bank shall from time to time specify.
