Indemnitor xxxxxx agrees to indemnify Indemnitee and NJDEP against any claims brought or actions filed against Indemnitee or NJDEP in respect to the subject of indemnity herein recited, whether such claims or actions be rightfully or wrongfully brought or filed by, from or on behalf of a third party (other than Indemnitee and NJDEP), and arising from the alleged action or inaction of the Indemnitor, against all costs incurred by Indemnitee or NJDEP therein.
If Indemnitee, in the enforcement of any part of this agreement, shall incur necessary expenses or become obligated to pay Attorney’s fees and Court costs, Indemnitor agrees to reimburse Indemnitee for such expenses, Attorneys’ fees or costs after receiving written notice from Indemnitee of the incurring of such expenses, costs or obligations.
In the case an action should be filed in respect to the subject of indemnity herein, Indemnitor agrees that Indemnitee and XXXXX may employ an Attorney of Indemnitee’s and NJDEP’s own selection to appear and defend the action, on behalf of Indemnitee or NJDEP at the expense of the Indemnitor.
This Lease shall remain in force for the life of the Lease between the parties for the Property, however, Indemnitor shall continue to indemnify and save harmless the Indemnitee and NJDEP from any liability or damages Indemnitee and NJDEP may suffer as a result of claims, demands, costs, or judgments against it arising out of the use, maintenance of the Property even though such liability or damage may not be brought to Indemnitee’s or NJDEP’s attention until after the termination of the Lease.
Indemnitor undertakes to indemnify and save harmless from any liability or damages Indemnitee and the NJDEP may suffer as a result of claims, demands, costs, or judgments against Indemnitee the NJDEP by from or on behalf of a third party, arising from the alleged action or inaction of the Indemnitor in connection with the Limited Agricultural Lease of the aforesaid Property.
