Indemnifier definition

Indemnifier means any Party obligated to provide indemnification under this Agreement;

Indemnifier has the meaning given to it in subparagraph 11(a);

Indemnifier has the meaning given to it in section 9.3;

Examples of Indemnifier in a sentence

• The Indemnifier shall not enter into any compromise or settlement of any Third Party Claim without obtaining the prior written consent of the Indemnified Party.

• Such notice to the Indemnifier shall describe the Third Party Claim in reasonable detail and shall indicate, if reasonably practicable, the estimated amount of the Loss that has been or may be sustained by the Indemnified Party.

• If an Indemnified Party receives notice of the commencement or assertion of any Third Party Claim, the Indemnified Party shall give the Indemnifier reasonably prompt notice thereof.

• The Indemnified Party shall cooperate in good faith in the defence of each Third Party Claim, at the expense of the Indemnifier even if the defence has been assumed by the Indemnifier, and may participate in such defence assisted by counsel of its own choice at the cost and expense of the Indemnifier, provided that the Indemnifier and its legal counsel shall lead the defence.

• The Indemnifier agrees to pay all of its own expenses of participating in or assuming such defence.

Indemnifier means the person who has executed or agreed to execute the Indemnity Agreement that is attached to this Lease as Schedule C.
