Exchangeable Units definition

Exchangeable Units has the meaning set out in Section 3.1;
Exchangeable Units means Units which may be redeemable for cash pursuant to Section 20.5 of the Partnership Agreement or exchangeable for Preferred Stock or redeemable for cash pursuant to Section 20.8 of the Partnership Agreement (without regard to any limitations on the exercise of such exchange right as a result of the Ownership Limit Provisions, as defined below).

Examples of Exchangeable Units in a sentence

  • In the event of default, the landlord is entitled to recover liquidated damages from the Tenant – a standard formula is used to calculate this in most commercial lease agreements drafted by law firms.

More Definitions of Exchangeable Units

Exchangeable Units means the 3,327,667 Class B LP Units the Partnership issued at the inception of the Company to an affiliate of BBP in partial consideration for the Partnership’s acquisition of the assets of the Partnership from that affiliate. The Class B LP Units, except as otherwise noted, have economic and voting rights equivalent in all material respects to the Class A LP Units which are owned by Bridgemarq. The Class B LP Units are indirectly exchangeable, on a one-for-one basis, subject to adjustment, for Restricted Voting Shares.
Exchangeable Units means the Class B LP Units which are exchangeable for Units at the option of the holder in accordance with the terms of the Limited Partnership Agreement and the Exchange Agreement.
