The Bank shall produce reports to analyze the quality of Credit Card Receivables generated by the Bank in terms of volume, composition and performance.
Each Grantor shall, at such Grantor’s sole cost and expense, upon the Agent’s demand made at any time after the occurrence and during the continuance of any Event of Default, deliver all tangible evidence of all Credit Card Receivables, including, without limitation, all documents evidencing such Credit Card Receivables and any books and records relating thereto to the Agent or to its representatives (copies of which evidence and books and records may be retained by such Grantor).
Subject to the occurrence of an Amortization Event which has not been rescinded or annulled, the aggregate unpaid principal amount of this Credit Card Receivables Backed Class A Floating Rate Note, Series 2019-1 shall be due and payable on the Maturity Date or, after the occurrence of an Amortization Event, on each Transfer Date until paid, in each case, in accordance with the terms of the Trust Indenture.
This Credit Card Receivables Backed Class A Floating Rate Note, Series 2019-1 shall be governed by and construed in accordance with the laws of the Province of Ontario and the laws of Canada applicable therein.
With respect to Credit Card Receivables sold to Marketer under this Section 4.1 (a), Bank shall pay daily to Marketer all payments made by or on behalf of the Cardholders attributable to the purchased Credit Card Receivables.
