Confidential Data and Information shall include any information, data, or materials obtained by one party to this Agreement (the "Receiving Party") from, or disclosed to such party by the other party (or, in the case of AMEX, disclosed to or by AMEX, or any parent, subsidiary, or affiliate to AMEX) (the "Disclosing Party"), or customer or service establishment, which information, data, or materials relate to the Marketing Agreement and their design and processes, or to the past, present, or future business activities of the Disclosing Party or any of its subsidiaries, affiliates, or clients, including methods, processes, telephone conversations, financial data, systems, customer names, account numbers, and other customer data, lists, apparatus, statistics, programs, and research and development related information of such entities, except such information as:
Confidential Data and Information shall include: (i) the existence and content of this Agreement and all other agreements and documents relating to or involved by this Agreement; (ii) any form of information, document or data relating to each Party, which may include any non-public information, including technical information, data, techniques and method, trade secret, market analysis, pricing data, list of clients or customers, investigation, software, general technology, design and advertisement, other private or confidential information or data and any financial and accounting result and data.
Confidential Data and Information means any information, data, or materials obtained by one party to this Agreement (the "Receiving Party") from, or disclosed to such party by, the other party (or, in the case of AMEX, disclosed to or by AMEX or any parent, subsidiary, or affiliated company related to AMEX) (the "Disclosing Party"), or the other party's customer or service establishment, which information, data, or materials relate to the aforesaid Program and their design and processes, or to the past, present, or future business activities of the Disclosing Party or any of its subsidiaries, affiliates, or clients, including methods, processes, telephone conversations, financial data, systems, customer names, account numbers, and other customer data, lists, apparatus, statistics, programs, and research and development, or related information of such entities, except such information as: (i) is previously known to the Receiving Party, free from any obligation to keep it confidential which Receiving Party can demonstrate through written records; (ii) is publicly disclosed either prior to or subsequent to the Receiving Party's receipt of such information; (iii) is lawfully obtained by the Receiving Party from a third party who, in making such disclosure, breaches no obligation of confidence; or (iv) is independently developed by the Receiving Party which Receiving Party can demonstrate through written records.

Examples of Confidential Data and Information in a sentence

  • Neither party shall disclose, publish, release, transfer, or otherwise make available Confidential Data and Information of the other party in any form to, or for the use or benefit of, any person or entity without such party's prior written consent.

  • Each party agrees that if there is any disclosure of the Confidential Data and Information by its employees or the employees of any third party contacted by it, it will enforce for the other party's benefit through litigation, if necessary, all rights provided under law to compensate the former party for any reasonable damages arising out of such disclosure and to protect the former party from additional disclosure.

  • AMEX reserves the right to monitor access to Confidential Data and Information to prevent the improper or unauthorized use of such Confidential Data and Information such monitoring may include, but is not limited to, on-site inspection of ASF's locations providing Services for AMEX at any time, and inserting decoy names and addresses in any lists provided to ASF.

  • General - ASF shall have limited access to certain Confidential Data and Information solely for the purposes consistent with meeting ASF's obligations under this Agreement: (a) ASF shall require all visitors to be identified at the front entrance of all operating centers and to sign a visitor's log which includes the date, time in/out, firm represented and signature.

  • AMEX reserves the right to monitor access to Confidential Data and Information to prevent the improper or unauthorized use of such Confidential Data and Information such monitoring may include, but is not limited to, on-site inspection of CreditComm's locations providing Services for AMEX at any time, and inserting decoy names and addresses in any lists provided to CreditComm.

  • Each party agrees that if there is any disclosure of the Confidential Data and Information by its employees or the employees of any third party, it will enforce for the other party's benefit through litigation, if necessary, all rights provided under law to compensate the former party for any damages arising out of such disclosure and to protect the former party from additional disclosure.

  • Following termination of this Agreement, Premiere shall provide the Company with reasonable assistance to permit the Company to remove and re- use Company assets, retrieve copies of files and other Confidential Data and Information of the Company, and provide technical support for any necessary transition or cut-over in service, provided that Company shall reimburse Premiere for its reasonable out-of-pocket expenses.

  • Developed Materials shall be deemed Confidential Data and Information of one or both parties in accordance with their ownership rights therein and shall accordingly be subject to the confidentiality provisions of this Agreement.

  • Notwithstanding the foregoing, in all events Files and Confidential Data and Information of the Company shall be the Company's property.


More Definitions of Confidential Data and Information

Confidential Data and Information means any information, data, or materials obtained by one party to this Agreement (the "Receiving Party") from, or disclosed to such party by, the other party or its customers (the "Disclosing Party"), which information, data, or materials relate to a Program or to the past, present, or future business activities of the Disclosing Party or any of its subsidiaries, affiliates, or clients, including methods, processes, telephone conversations, financial data, systems, customer names, account numbers, and other customer data, lists, statistics, programs, and research and development. For such purpose, Confidential Data and Information of Premiere will include information generally related to Premiere's telecommunications services and facilities and information pertaining to customers of Premiere not receiving Company Services; Confidential Data and Information of Company will include information generally related to the Company Services and customers receiving the Company Services (alone or integrated as Joint Services). Confidential Data and Information shall not include, however, such information as: (i) is previously known to the Receiving Party, free from any obligation to keep it confidential which Receiving Party can demonstrate through written records; (ii) is lawfully publicly disclosed either prior to or subsequent to the Receiving Party's receipt of such information in such manner as can be readily ascertained by the Receiving Party without substantial effort and expense; (iii) is lawfully obtained by the Receiving Party from a third party who, in making such disclosure, breaches no obligation of confidence; or (iv) is independently developed by the Receiving Party which Receiving Party can demonstrate through written records.

Related to Confidential Data and Information

  • Confidential Data used in connection with their businesses. “Personal Data” means (i) a natural person’s name, street address, telephone number, e-mail address, photograph, social security number or tax identification number, driver’s license number, passport number, credit card number, bank information, or customer or account number; (ii) any information which would qualify as “personally identifying information” under the Federal Trade Commission Act, as amended; (iii) “personal data” as defined by GDPR; (iv) any information which would qualify as “protected health information” under the Health Insurance Portability and Accountability Act of 1996, as amended by the Health Information Technology for Economic and Clinical Health Act (collectively, “HIPAA”); (v) any “personal information” as defined by the California Consumer Privacy Act (“CCPA”); and (vi) any other piece of information that allows the identification of such natural person, or his or her family, or permits the collection or analysis of any data related to an identified person’s health or sexual orientation. There have been no breaches, violations, outages or unauthorized uses of or accesses to same, except for those that have been remedied without material cost or liability or the duty to notify any other person, nor any incidents under internal review or investigations relating to the same. The Company and its subsidiaries are presently in material compliance with all applicable laws or statutes and all judgments, orders, rules and regulations of any court or arbitrator or governmental or regulatory authority, internal policies and contractual obligations relating to the privacy and security of IT Systems, Confidential Data, and Personal Data and to the protection of such IT Systems, Confidential Data, and Personal Data from unauthorized use, access, misappropriation or modification.

  • Foreground Information means all Intellectual Property first conceived, developed, produced or reduced to practice as part of the Work under the Contract;

  • Background Information means various types of information provided by the Sponsors and is defined in RFP Section 2.4(1)(b);

  • Electronic and Information Resources means information resources, including information resources technologies, and any equipment or interconnected system of equipment that is used in the creation, conversion, duplication, or delivery of data or information. The term includes telephones and other telecommunications products, information kiosks, transaction machines, Internet websites, multimedia resources, and office equipment, including copy machines and fax machines.

  • Derived Information means such written information regarding the Notes as is disseminated by any Underwriter to a potential investor, which information is not any of (A) Issuer Information, (B) Prepricing Information or (C) contained in the Registration Statement, the Preliminary Prospectus, the Ratings Free Writing Prospectus or the Prospectus or any amendment or supplement to any of them, taking into account information incorporated therein by reference (other than information incorporated by reference from any information regarding the Notes that is disseminated by any Underwriter to a potential investor); and

  • Keeping information confidential means using discretion in disclosing information as well as guarding against unlawful or inappropriate access by others. This includes:

  • Transferred Information means the personal information (namely, information about an identifiable individual other than their business contact information when used or disclosed for the purpose of contacting such individual in that individual’s capacity as an employee or an official of an organization and for no other purpose) to be disclosed or conveyed to one Party or any of its representatives or agents (a “Recipient”) by or on behalf of another Party (a “Disclosing Party”) as a result of or in conjunction with the transactions contemplated herein, and includes all such personal information disclosed to the Recipient prior to the execution of this Agreement.

  • Information has the meaning specified in Section 10.07.

  • Licensed Information means any information concerning the Licensed Program, which is owned by the Licensor and is licensed to the Licensee together with the Licensed Program. Licensed Information includes such information as input form, user manual, interface format and input/output format and is delivered to and used by the Licensee as confidential information or proprietary property of the Licensor.

  • Fund Confidential Information means Confidential Information for which the Fund is the Disclosing Party.

  • Excluded Information With respect to any Excluded Controlling Class Mortgage Loan, any information and reports solely relating to such Excluded Controlling Class Mortgage Loan and/or the related Mortgaged Property or portfolio of Mortgaged Properties, including, without limitation, any Asset Status Reports, Final Asset Status Reports (or summaries thereof), any Appraisals, inspection reports (related to Specially Serviced Loans conducted by the Special Servicer or the Excluded Special Servicer, as applicable), any Officer’s Certificates delivered by the Master Servicer, the Special Servicer or the Trustee pursuant to Section 3.20(c) or Section 4.06(b) supporting a non-recoverability determination, the Operating Advisor Annual Reports, any determination of the Special Servicer’s net present value calculation, any Appraisal Reduction Amount calculations, environmental assessments, seismic reports and property condition reports and such other information and reports designated as Excluded Information (other than such information with respect to such Excluded Controlling Class Mortgage Loan that is aggregated with information of other Mortgage Loans at a pool level) by the Master Servicer, the Special Servicer or the Operating Advisor, as the case may be. For the avoidance of doubt, any file or report contained in the CREFC® Investor Reporting Package (CREFC® IRP) (other than the CREFC® Special Servicer Loan File and CREFC® Special Servicer Property File relating to any Excluded Controlling Class Mortgage Loan) and any Schedule AL Additional File shall not be considered “Excluded Information.” Each of the Master Servicer, the Special Servicer or the Operating Advisor shall deliver any Excluded Information for posting to the Certificate Administrator’s Website to the Certificate Administrator in accordance with Section 3.32 hereof. For the avoidance of doubt, the Certificate Administrator’s obligation to segregate any information delivered to it under the “Excluded Information” tab on the Certificate Administrator’s Website shall be triggered solely by such information being delivered in the manner provided in Section 3.32 hereof.

  • State Confidential Information means any and all State Records not subject to disclosure under CORA. State Confidential Information shall include, but is not limited to, PII, PHI, PCI, Tax Information, CJI, and State personnel records not subject to disclosure under CORA. State Confidential Information shall not include information or data concerning individuals that is not deemed confidential but nevertheless belongs to the State, which has been communicated, furnished, or disclosed by the State to Contractor which (i) is subject to disclosure pursuant to CORA; (ii) is already known to Contractor without restrictions at the time of its disclosure to Contractor; (iii) is or subsequently becomes publicly available without breach of any obligation owed by Contractor to the State; (iv) is disclosed to Contractor, without confidentiality obligations, by a third party who has the right to disclose such information; or (v) was independently developed without reliance on any State Confidential Information.

  • Confidential means confidential financial information concerning offeror’s organization and data that qualifies as a trade secret in accordance with the Uniform Trade Secrets Act NMSA 1978 57-3-A-1 to 57-3A-7. See NMAC 1.4.1.45. As one example, no information that could be obtained from a source outside this request for proposals can be considered confidential information.

  • Buyer Confidential Information shall have the meaning set forth in Section 5.1.

  • Confidential Materials means all tangible materials containing Confidential Information, including without limitation written or printed documents and computer disks or tapes, whether machine or user readable.

  • Seller Confidential Information has the meaning set forth in Section 6.4.3.

  • Program Information is defined in Section 13.8(a)(i).

  • Covered information as used in this paragraph includes any and all information concerning a student by which a student may be individually identified and includes “Covered Information” as defined in 105 ILCS 85/5 as amended, “School Student Records” as defined in 105 ILCS 10/2 and “Personally Identifiable Information” as defined in 34 C.F.R. 99.3. For purposes of this Addendum Customer Personal Data (as defined in the Agreement) will have the same meaning as Covered information.

  • Confidential Information Breach means, generally, an instance where an unauthorized person or entity accesses Confidential Information in any manner, including but not limited to the following occurrences: (1) any Confidential Information that is not encrypted or protected is misplaced, lost, stolen or in any way compromised; (2) one or more third parties have had access to or taken control or possession of any Confidential Information that is not encrypted or protected without prior written authorization from the State; (3) the unauthorized acquisition of encrypted or protected Confidential Information together with the confidential process or key that is capable of compromising the integrity of the Confidential Information; or (4) if there is a substantial risk of identity theft or fraud to the client, the Contractor, the Department or State.

  • Confidential Information has the meaning set forth in Section 6.1.

  • Generated Information means information produced in the performance of this CRADA.

  • Customer Confidential Information means Confidential Information of the Customer provided to Computershare.

  • Supplier's Confidential Information means any information, however it is conveyed, that relates to the business, affairs, developments, trade secrets, Know-How, personnel and suppliers of the Supplier, including IPRs, together with information derived from the above, and any other information clearly designated as being confidential (whether or not it is marked as "confidential") or which ought reasonably to be considered to be confidential;
