Class B-2 Units definition

Class B-2 Units means a Partnership Interest representing a fractional part of the Partnership Interests of all Limited Partners, and having the rights and obligations specified with respect to Class B-2 Units in this Agreement.

Class B-2 Units has the meaning assigned to such term in Section 5.13(b).

Class B-2 Units means the Units of the Company designated as the “Class B-2 Units” herein and having the rights, powers and duties pertaining thereto as are set forth in this Agreement.

Examples of Class B-2 Units in a sentence

• Distribution Proceeds will be allocated to such Class B2 Unitholder until the aggregate Distribution Proceeds previously distributed to such Class of Unitholder in relation to all prior dispositions and the amount allocated and/or distributed pursuant to this sub-paragraph (i) is equal to the aggregate amount paid up on/contributed towards the respective Class B2 Units; for units which are Lien marked, action for those units will be taken as per terms mentioned in Lien document.

• Restricted stock distributed in respect of pre-IPO Class B-2 Units (which were considered performance vesting units) are scheduled to vest only upon satisfaction of certain thresholds.

• In the event of a change in control of the Company, any outstanding shares of our common stock distributed in respect of Class B-2 Units that remain unvested immediately following the consummation of such a change in control of the Company shall be immediately canceled and forfeited without compensation.

• Immediately after the Tempo Effective Time, the Units comprise (i) Class A Units, (ii) Class B Units, comprising Class B-1 Units, Class B-2 Units and Class B-3 Units, (iii) Class C Units and (iv) Class Z Units, comprising Class Z-A Units, Class Z-B-1 Units and Class Z-B-2 Units.

• The Class B2 Units vest 30% on June 1, 2021 and 5.83% on each quarterly anniversary thereafter, contingent upon the Reporting Person's continued service to the Issuer.

More Definitions of Class B-2 Units

Class B-2 Units means that class of Company Interests issued to those Members set forth on Exhibit A in the amounts set forth thereon, and to such other Persons after the Effective Date in accordance with this Agreement, representing an interest in profits, losses and distribution as set forth in this Agreement and having the rights, powers, obligations, restrictions and limitations specified with respect to Class B-2 Units in this Agreement.

Class B-2 Units has the meaning set forth in Section 4.1.

Class B-2 Units means the Class B-2 limited liability company interests of Alight Holdings following the Business Combination, having the rights and privileges as set forth in the Alight Holdings Operating Agreement, and which are restricted subject to vesting and will vest and automatically convert into an equivalent number of Class A Units upon the occurrence of a Class B-1 Vesting Event, in accordance with the terms and conditions set forth in the Alight Holdings Operating Agreement.

Class B-2 Units means the Class B-2 Units of the Company.

Class B-2 Units has the meaning set forth inSection 2.0Ua).

Class B-2 Units means Membership Rights in the Company having the economic and other rights set forth herein with respect to “Class B-2 Units.”

Class B-2 Units has the meaning set forth in the recitals.
