Class A Membership Units means the class of membership interests of the Funded L/C SPV consisting of Class A membership interests pursuant to and in accordance with the operating agreement of the Funded L/C SPV, which shall be substantially the same as that certain Operating Agreement of NRG LC Facility Company LLC, dated as of June 30, 2010.
