City Data definition

City Data means that data as described in Article 13 of this Agreement which includes, without limitation, all data collected, used, maintained, processed, stored, or generated by or on behalf of the City in connection with this Agreement. City Data includes, without limitation, Confidential Information.
City Data means all information, in writing (including electronic) form, created by or in any way originating with City, and all information that is the output of any computer processing, or other electronic manipulation, of any information that was created by or in any way originating with City, in the course of using and configuring the Services provided under this Agreement, that is stored on the cloud;
City Data means all Documents and/or Information: (i) that the City discloses, supplies, or provides to Consultant under, pursuant to, or in connection with this Agreement, (ii) that Consultant obtains, receives, or collects under, pursuant to, or in connection with this Agreement, and/or (iii) collected, received, entered, stored, archived, retained, maintained, processed, or transmitted in, into, or by the Software. “City Data” does not include the Software, the Object Code, or the Source Code.

Examples of City Data in a sentence

  • The Contractor warrants that the SaaS Application does not maintain, store, or export the City Data using a database structure, data model, entity relationship diagram or equivalent that is itself a trade secret or which would cause substantial injury to the competitive position of the Contractor if published.

  • Upon termination of this Agreement pursuant to this Section, Contractor shall within two business days, return City Data in an agreed-upon machine readable format.

  • The Parties agree that as between them, all rights, including all intellectual property rights, in and to the City Data, and any derivative works of the City Data, shall remain the exclusive property of the City.

  • The SaaS Application shall be capable of creating a digital, reusable copy of the City Data, in whole and in part, as an independent platform and machine- readable file.

  • City shall have access to City Data 24 hours a day, 7 days a week.


More Definitions of City Data

City Data or “Data” means all data given to Contractor by City in the performance of this Agreement.
City Data or “the City Data” means that data as described in Article 13 of this Agreement which includes, without limitation, all data collected, used, maintained, processed, stored, or generated by or on behalf of the City in connection with this Agreement, including data resulting from use of the SaaS Service. City Data includes, without limitation, Confidential Information.
City Data or “Data” means that data as described in Article 13 of this Agreement, which includes, without limitation, all data collected, used, maintained, processed, stored, or generated by or on behalf of the City in connection with this Agreement, as well as Confidential Information.
City Data means any and all information that the City has disclosed to Contractor or that Contractor has created on behalf of the City pursuant to its obligations under the Underlying Agreement. For the purposes of this IPSA, City Data does not cease to be City Data solely because it is transferred or transmitted beyond the City’s immediate possession, custody, or control.
City Data data or information (in any form) regarding the City or its customers that is created, collected, provided, obtained, or otherwise made available in connection with this Contract to an Authorized Person.
City Data means that data as described in Article 13 of this Agreement which includes, without limitation all collected, used, maintained, processed, stored, or generated by or on behalf of the City, including as the result of the use of the SaaS Service. City Data includes without limitation Confidential Information.
City Data means and includes any one or more of the following: Confidential Information or information or services to be provided under the Scope of Services described in Exhibit “B” of this Agreement; Documents or information that the City or persons acting on the City’s behalf provides, makes available to, or transmits to Contractor on the City’s behalf; and Documents or information Contractor receives, obtains, has access to, modifies, creates, develops, analyzes, uses for modeling or other services under this Agreement or otherwise prepares in connection with this Agreement.
