Applicable Administrative Agent definition

Applicable Administrative Agent means (a) the Administrative Agent, with respect to any U.S. Loan or U.S. Letter of Credit, and (b) the Canadian Administrative Agent, with respect to any Canadian Loan or Canadian Letter of Credit.

Applicable Administrative Agent means, (i) with respect to the Revolving Facility, the Revolving Administrative Agent, and (ii) with respect to any Term Facility, the Term Administrative Agent.

Applicable Administrative Agent means the Administrative Agent for the benefit of the holders of Senior Indebtedness (as defined below), subject to any applicable intercreditor agreement, until and unless another applicable agent is appointed pursuant to such intercreditor agreement. The Indebtedness evidenced by this Note owed by any Payor to any Payee shall be subordinate and junior in right of payment, to the extent and in the manner hereinafter set forth, to (a) all Obligations (under and as defined in the First Lien Credit Agreement) of such Payor, (b) any senior secured Indebtedness that renews, refunds, restructures or refinances any of the Indebtedness specified in clause (a) to the extent by its terms expressly requiring the subordination thereto of the Indebtedness evidenced by this Note, (c) any other senior secured Indebtedness of such Payor that by its terms expressly requires the subordination thereto of the Indebtedness evidenced by this Note and (d) interest on any of the foregoing, accruing after the commencement of any proceedings referred to in clause (i) below, whether or not such interest is an allowed claim in such proceeding (the Indebtedness specified in clauses (a) through (d) being hereinafter collectively referred to as “Senior Indebtedness”), until the latest to occur of (x) the Termination Date under the First Lien Credit Agreement and (y) the date of payment in full in cash of any other Senior Indebtedness (other than contingent obligations as to which no claim has been made) (such latest date to occur, the “Payoff Date”); provided that each such Payor may make payments to the applicable Payee unless an Event of Default shall have occurred and be continuing and such Payor shall have received notice from the Applicable Administrative Agent (provided that no such notice shall be required to be given in the case of any Event of Default arising under Section 7.01(h) or 7.01(i) of the First Lien Credit Agreement).

Examples of Applicable Administrative Agent in a sentence

• If, for the purposes of obtaining judgment in any court, it is necessary to convert a sum due hereunder or any other Loan Document in one currency into another currency, the rate of exchange used shall be that at which in accordance with normal banking procedures the Applicable Administrative Agent could purchase the first currency with such other currency on the Business Day preceding that on which final judgment is given.

• A certificate as to the amount of such payment or liability delivered to any Lender or L/C Issuer by the Applicable Administrative Agent shall be conclusive absent manifest error.

• Each of the Administrative Agent, Xxxxxxxxx and Xxxxxxx hereby agrees that, notwithstanding anything to the contrary in this Agreement, no Eurocurrency Rate Loans based on Daily Compounded XXXXX or Adjusted Daily Compounded XXXXX shall be available under this Agreement unless agreed to in writing by the Applicable Administrative Agent in its sole discretion.

• Each Lender and each L/C Issuer hereby authorizes the Applicable Administrative Agent to set off and apply any and all amounts at any time owing to such Lender under any Loan Document or otherwise payable by the Applicable Administrative Agent to the Lender or L/C Issuer from any other source against any amount due to the Applicable Administrative Agent under this paragraph (d).

• If the amount of the Agreement Currency so purchased is less than the sum originally due to the Applicable Administrative Agent from the applicable Borrower in the Agreement Currency, such Borrower agrees, as a separate obligation and notwithstanding any such judgment, to indemnify the Applicable Administrative Agent or the Person to whom such obligation was owing against such loss.

More Definitions of Applicable Administrative Agent

Applicable Administrative Agent means (i) with respect to the Multicurrency Facility and Multicurrency Letters of Credit, the Multicurrency Administrative Agent and (ii) otherwise, the Administrative Agent.

Applicable Administrative Agent means (i) with respect to ABL Collateral, the Administrative Agent, (ii) with respect to Term Loan Collateral, the Term Loan Administrative Agent (or other analogous term in another Acceptable Intercreditor Agreement, as applicable) or (iii) if at any time there is no Intercreditor Agreement or other intercreditor agreement described in the definition of “Acceptable Intercreditor Agreement” then in effect, the Administrative Agent.

Applicable Administrative Agent means, (a) with respect to a Loan or Borrowing denominated in Dollars, and with respect to any payment hereunder that does not relate to a particular Loan or Borrowing, the General Administrative Agent, (b) with respect to a Borrowing denominated in Japanese Yen, the Japanese Administrative Agent, (c) with respect to a Borrowing denominated in a Committed Currency, the European Administrative Agent and (d) with respect to a Competitive Borrowing, the Advance Agent.

Applicable Administrative Agent means (i) with respect to the ABL Priority Collateral, the ABL Agent (or any other analogous term in another Acceptable Intercreditor Agreement among, inter alia, the Collateral Agent and the agent or representative under any ABL Facility), (ii) with respect to the Term Priority Collateral, the Administrative Agent or (iii) if at any time there is no ABL Intercreditor Agreement or other intercreditor agreement as described in the definition of Acceptable Intercreditor Agreement among, inter alia, the Administrative Agent and the agent or representative under any ABL Facility then in effect, the Administrative Agent.

Applicable Administrative Agent means (i) with respect to a Loan to Company or Letter of Credit issued for the account of Company, and with respect to any payment, notice or other matter hereunder with respect thereto or that does not relate to a particular Loan, Letter of Credit or type of Commitments, General Administrative Agent, and (ii) with respect to a Loan to European Borrower or Letter of Credit issued for the account of European Borrower, and with respect to any payment, notice or other matter hereunder that relate only to Loans, Letters of Credit or Commitments to European Borrower, European Administrative Agent.

Applicable Administrative Agent means (i) in all cases other than with respect to the Incremental Revolving Facility established pursuant to Amendment Xx. 0, Xxxxxx Xxxxxx XX, Xxxxxx Xxxxxxx Branch, as administrative agent and any successor thereto in such capacity and (ii) in all cases with respect to the Incremental Revolving Facility established pursuant to Amendment No. 1, the Primary Revolving Facility Administrative Agent.

Applicable Administrative Agent mean (i) in relation to the Revolving Credit Facility, the Revolving Credit Administrative Agent and (ii) in relation to the Term Loan Facility, the Term Loan Administrative Agent, as the context may require.
