Common use of Use of the Name Clause in Contracts

Use of the Name. Invesco". The Board of Trustees expressly agrees and acknowledges that the name "Invesco" is the sole property of Invesco Ltd. ("Invesco"). Invesco has granted to the Trust a non-exclusive license to use such name as part of the name of the Trust now and in the future. The Board of Trustees further expressly agrees and acknowledges that the non-exclusive license granted herein may be terminated by Invesco if the Trust ceases to use Invesco or one of its Affiliated Persons as investment adviser or to use other Affiliated Persons or successors of Invesco for such purposes. In such event, the non-exclusive license may be revoked by Invesco and the Trust shall cease using the name "Invesco" or any name misleadingly implying a continuing relationship between the Trust and Invesco or any of its Affiliated Persons, as part of its name unless otherwise consented to by Invesco or any successor to its interests in such name. The Board of Trustees further understands and agrees that so long as Invesco and/or any future advisory Affiliated Person of Invesco shall continue to serve as the Trust's investment adviser, other registered open- or closed-end investment companies ("funds") and other types of investment vehicles as may be sponsored or advised by Invesco or its Affiliated Persons shall have the right permanently to adopt and to use the name "Invesco" in their names and in the names of any series or class of shares of such funds.

The Board of Trustees further expressly agrees and acknowledges that the non-exclusive license granted herein may be terminated by Invesco Roundhill Investments if the Trust ceases to use Invesco Roundhill Investments or one of its Affiliated Persons Affiliates as investment adviser Investment Adviser or to use other Affiliated Persons Affiliates or successors of Invesco Roundhill Investments for such purposes. In such event, the non-exclusive license may be revoked by Invesco Morningstar by written notice to the Trust and the Trust shall cease using the name "Invesco" “Morningstar“ or any name misleadingly implying a continuing relationship between the Trust and Invesco Morningstar or any of its Affiliated Persons, as part of its name unless otherwise consented to by Invesco Morningstar or any successor to its interests in such name. The Board of Trustees further understands and agrees that so long as Invesco Morningstar and/or any future advisory Affiliated Person of Invesco Morningstar shall continue to serve as the Trust's ’s investment adviser, other registered open- or closed-end investment companies ("“funds"”) and other types of investment vehicles as may be sponsored or advised by Invesco Morningstar or its Affiliated Persons shall have the right permanently right, on such terms as are agreed to by Morningstar, to adopt and to use the name "Invesco" “Morningstar” in their names and in the names of any series or class of shares of such funds.

The Board of Trustees further expressly agrees and acknowledges that the non-exclusive license granted herein may be terminated by Invesco AAM if the Trust ceases to use Invesco AAM or one of its Affiliated Persons Affiliates as investment adviser Investment Adviser or to use other Affiliated Persons Affiliates or successors of Invesco AAM for such purposes. The Board of Trustees further expressly agrees and acknowledges that the non-exclusive license granted herein may be terminated by Invesco Genworth if the Trust ceases to use Invesco Genworth or one of its Affiliated Persons Affiliates as investment adviser Investment Adviser or to use other Affiliated Persons Affiliates or successors of Invesco Genworth for such purposes. The Board of Trustees further expressly agrees and acknowledges that the non-exclusive license granted herein may be terminated by Invesco Xxxxxxx if the Trust ceases to use Invesco Madison or one of its Affiliated Persons Affiliates as investment adviser Investment Adviser or to use other Affiliated Persons Affiliates or successors of Invesco Xxxxxxx for such purposes. In such event, the non-exclusive nonexclusive license may be revoked by Invesco Xxxxxxx and the Trust shall cease using the name "Invesco" “Madison ETFs” or any name misleadingly implying a continuing relationship between the Trust and Invesco Madison or any of its Affiliated PersonsAffiliates, as part of its name unless otherwise consented to by Invesco Madison Funds or any successor to its interests in such namenames. The Board of Trustees further expressly agrees and acknowledges that the non-exclusive license granted herein may be terminated by Invesco the Adviser if the Trust ceases to use Invesco the Adviser or one of its Affiliated Persons Affiliates as investment adviser Investment Adviser or to use other Affiliated Persons Affiliates or successors of Invesco the Adviser for such purposes. In such event, the non-exclusive nonexclusive license may be revoked by Invesco the Adviser and the Trust shall cease using the name "InvescoAllegiant Advantage," or any name misleadingly implying a continuing relationship between the Trust and Invesco the Adviser or any of its Affiliated PersonsAffiliates, as part of its name unless otherwise consented to by Invesco Allegiant or any successor to its interests in such namenames. The Board of Trustees further understands and agrees that so long as Invesco the Adviser and/or any future advisory Affiliated Person Affiliate of Invesco the Adviser shall continue to serve as the Trust's investment adviserInvestment Adviser, other registered open- or closed-end investment companies ("funds") and other types of investment vehicles as may be sponsored or advised by Invesco the Adviser or its Affiliated Persons Affiliates shall have the right permanently to adopt and to use the name "InvescoAllegiant Advantage" in their names and in the names of any series or class Class of shares of such funds.

Use of the Name. InvescoFRANKLIN". The Board of Trustees expressly agrees and acknowledges that the name "InvescoFranklin" is the sole property of Invesco Ltd. Franklin Resources, Inc. ("InvescoFRI"). Invesco FRI has granted to the Trust a non-exclusive license to use such name as part of the name of the Trust now and in the future. Use of the Name. InvescoSTRATEVEST". The Board of Trustees Trust expressly agrees and acknowledges that the name "InvescoStratevest" is the sole property of Invesco Ltd. Banknorth Group or its subsidiary, The Stratevest Group, N.A. ("InvescoBank"). Invesco Bank has consented to the use by the Trust of the identifying words "Stratevest" and has granted to the Trust a non-exclusive license to use such name as part of the name of the Trust now and in the futurename of any Series of its Shares. The Board of Trustees Trust further expressly agrees and acknowledges that the non-exclusive license granted herein may be terminated by Invesco Bank if the Trust ceases to use Invesco Bank or one of its Affiliated Persons Affiliates as investment adviser Investment Adviser or to use other Affiliated Persons Affiliates or successors of Invesco Bank for such purposes.
