The Company Property. Unless authorized by the Company, on the Separation Date, Xx. Xxxx agrees to return to the Company all Company documents (and all copies thereof) and any and all other Company property in Xx. Xxxx'x possession, custody or control, including, but not limited to, financial information, customer information, customer lists, employee lists, Company files, notes, cellular telephones, personal computers, personal computers, contracts, drawings, records, business plans and forecasts, financial information, specifications, computer-recorded information, software, tangible property, credit cards, entry cards, identification badges and keys, and any materials of any kind which contain or embody any proprietary or confidential material of the Company (and all reproductions thereof).

The Company Property. Executive represents and warrants that he has complied with Section 7(b) of the Employment Agreement and he has returned to the Company all property in his possession, custody or control belonging to the Company, its affiliates or subsidiaries, including, but not limited to, all equipment, computers, pass codes, keys, swipe cards, credit cards, documents or other materials, in whatever form or format, that Executive received, prepared, or helped prepare. Executive represents that Executive has not retained any copies, duplicates, reproductions, computer disks, or excerpts thereof, whether in hard copy or electronic form, of the Company’s, its affiliates’ or subsidiaries’ documents.
The Company Property. The Executive hereby agrees that all documents, reports, plans, proposals, marketing and sales plans, client lists, client files and materials made by him or by the Company and its subsidiaries are the properties of such entity and will not be used by him in any way adverse to the Company's interests. The Executive will not deliver, reproduce or in any way allow such documents or things to be delivered or used by any third party without specific written direction or written consent of the Board of the Company as appropriate. The Executive hereby assigns to the Company any rights which he may have in any such trade secret or proprietary information. The Company Property. All products, records, designs, patents, plans, data, manuals, brochures, memoranda, devices, lists and other property delivered to the Executive by or on behalf of the Company, all confidential information including, but not limited to, lists of potential customers, prices, and similar confidential materials or information respecting the business affairs of the Company, such as hardware manufacturers, software developers, networks, strategic partners, business practices regarding technology and schedules, legal actions and personnel information, and all records compiled by the Executive which pertain to the business of the Company, and all rights, title and interest now existing or that may exist in the future in and to any intellectual property rights created by the Executive for the Company, in performing the Executive's duties during the term of this Agreement shall be and remain the property of the Company. The Executive agrees to execute and deliver at a future date any further documents that the Company, determines may be necessary or desirable to perfect the Company's ownership in any intellectual or other property rights.
The Company Property. (a) All advertising, sales, and other materials or articles or information, including without limitation data processing reports, customer sales analyses, invoices, price lists or information, samples, or any other materials or data of any kind furnished to Employee by the Company or developed by Employee on behalf of the Company or at the Company's direction or for the Company's use or otherwise in connection with Employee's employment hereunder, are and shall remain the sole and confidential property of the Company. If the Company requests the return of such materials at any time during, at or after the termination of Employee's employment, Employee shall deliver the same to the Company immediately, retaining no copies.

The Company Property. Employee has returned to the Company all the Company property in Employee’s possession or under Employee’s control including, but not limited to, all corporate credit cards, identification badges, computer hardware and software, cell phones, tablets, PDAs, books, records, documents, data, access cards, financial data, confidential information, trade secrets, files, notebooks, passwords, plans, sales reports, records, and all other property, equipment, or information owned by the Company or to which Employee was provided access by the Company during Employee’s employment. By signing this Agreement, Employee represents that Employee has returned all the Company property and that Employee no longer possesses or has access to the Company property. Notwithstanding the foregoing, the Company agrees that Employee may keep the Company-owned computer in his possession, and by signing this Agreement, Employee represents that there is no Company information maintained or stored on the computer.
The Company Property. The Employee represents and agrees that he has turned over to the Company all files, memoranda, records and other documents, and any other personal property which is the property of the Company and which he had in his possession, custody or control at the time he signed this Agreement.
