Superseding Provisions. The benefits and payments set forth in Section 9(a) that may be due in connection with a Change of Control shall supersede all payments, entitlements and benefits of Executive otherwise payable under Section 7(a). The benefits and payments due under Section 9(a) replace those in Section 7(a), and are not cumulative thereof.
Superseding Provisions. This Agreement constitutes the entire understanding and agreement between the parties, and a fully executed copy shall be deemed an original for all purposes and shall supersede all prior written contracts, all addenda thereto, and any oral and/or written statements or agreements, including any letters of agreement relating to this Agreement or the terms covered herein.

Superseding Provisions. Notwithstanding anything to the contrary contained in this Agreement:
Superseding Provisions. (a) ¨ The Employer has completed the Plan Superseding Provisions Addendum to show the provisions of the Plan which supersede provisions of this Adoption Agreement and/or the Basic Plan Document.

Notwithstanding any other provision with respect to any trust under this instrument, except section 5.7 and section 8.5, no final or interim distributions of principal or of income, shall be made for a Special Beneficiary during the life of the Special Beneficiary while that beneficiary is a Special Beneficiary except for special needs benefits, as provided in this section 3.2 if the Trustee in its discretion decides to provide them, regardless of whether the Special Beneficiary otherwise qualifies for a distribution on reaching a certain age, surviving another person, or meeting any other condition with respect to the trust affected.
Superseding Provisions. The provisions of this Section 2.1 are subject to the provisions of Section 2.2, and to the extent of any conflict between the provisions of this Section 2.1 and the provisions of Section 2.2, the provisions of Section 2.2 shall control.
