Sub-structure. The foundation design for Canada Way Phase 2 will be based on the Geotechnical report prepared by Xxxx Xxxxxxxxx and Xxxxx Ltd. dated January 3, 1991 and November 25, 1998. The building foundation will consist of strip and pad footings. Strip footings will be a minimum of 400-mm wide and mounded at least 500-mm below grade to prevent any frost action that may occur. The slab-on-grade will be underlain by a drainage layer, which will consist of a minimum of 150 mm of clean granular fill. This drainage layer and the footing drains around the perimeter of the basement will connect to the storm drainage system. Structure General The structure will be designed in accordance with the British Columbia Building Code 1998. The structural floor system for the entire structure inclusive of all upper office floors of Building A, B, and C, and suspended parking levels, will be cast in place reinforced concrete slabs and slab bands supported by reinforced concentrate columns, elevator shafts, stair shafts and shear-walls. This system will provide good vibration control characteristics and an economical serviceable floor with an inherent ability to provide column free spaces where necessary. The perimeter basement retaining walls, elevator and stair shafts, and shear-walls will be cast in place reinforced concrete. The lateral system will consist of the reinforced concrete stair and elevator shafts plus reinforced concrete walls at the washroom locations. These lateral elements will carry down to foundation. In addition, the perimeter concrete retaining walls will be used for lateral load resistance at the lower levels. Parking Levels The car parking levels will be designed for a live load of 2.4 kPa (50 psf). Access to loading bay and loading bay area will be designed for 12 kPa (250 psf). Parking at foundation level will consist of a concrete slab on grade. Corrosion Protection System in accordance with CAN.CSA-S413-94 Parking Structures will be provided for all suspended parking levels. Upper Floor Office Levels The floors are predominantly office area and will be designed for a minimum live load of 3.1kPa(65psf). Roof Roof will be cast in place concrete construction similar to the office floor. The design loading will be the applicable snow loads with provision for snow build-up where applicable. Sub-structure. The sub structure of Care Trust Plus will consist of four commissioning groups of general practices where aggregate practice lists represent the population group (circa 40,000). The health and social care needs of this population group will be assessed and met through individual, practice and group based commissioning, working in partnership with others delivered through holistic commissioning plans. The aims of the commissioning groups are:  Implementation of agreed strategic priorities at a local level taking account of the different needs priorities / ambitions informing the strategic commissioning plan  Developing specifications, performance indicators and outcomes for commissioned services.  Shaping the market through specific and collaborative actions. Development of care pathways within and beyond the cluster through effective clinical leadership / engagement.  Partnership of equals – a series of collaborative and commissioning relationships between practices and social care.  Bringing services as local as possible (a community governance model has been developed to support this).  Being accountable and responsible for key deliverables within the Care Trust Plus. A Pathfinder project will support the development of commissioning groups within an agreed set of governance arrangements. This will be the focus of much of the innovation and sharing of best practice to support the development of the new organisation.

  • Organizational Structure The ISO will be governed by a ten (10) person unaffiliated Board of Directors, as per Article 5 herein. The day-to-day operation of the ISO will be managed by a President, who will serve as an ex-officio member of the ISO Board, in accordance with Article 5 herein. There shall be a Management Committee as per Article 7 herein, which shall report to the ISO Board, and shall be comprised of all Parties to the Agreement. There shall be at least two additional standing committees, the Operating Committee, as provided for in Article 8, and the Business Issues Committee, as provided for in Article 9, both of which shall report to the Management Committee. A Dispute Resolution Process will be established and administered by the ISO Board in accordance with Article 10.

  • Agreement Structure 2.1 An “Agreement” hereunder shall consist of this Master Agreement, the Schedule, and their applicable attachments and represents the complete and exclusive agreement between the Parties regarding the subject matter of the Schedule, and replaces any prior oral or written communications between the Parties relating thereto. Each Lease is effective when the Schedule containing such Lease is executed by the Parties thereto.

  • Capital Structure (i) The authorized capital stock of the Company consists of 10,000,000,000 shares of Common Stock, of which, as of January 31, 2004, 2,719,301,543 shares are outstanding, and 1,000,000,000 shares of Preferred Stock, par value $.01 per share, of which, as of the date of this Agreement, 207,537 shares of Series C Preferred Stock and 25,428 shares of Series E Preferred Stock are outstanding. All of the outstanding Shares have been duly authorized and are validly issued, fully paid and nonassessable. The Company has no Shares reserved for issuance, except that, as of January 31, 2004, there were 230,079,174 shares issuable pursuant to outstanding awards under the Company's Amended and Restated Long Term Incentive Plan and the Company Adjustment Plan (the "Stock Plans"), 41,748,273 shares of Common Stock reserved for issuance pursuant to the DoCoMo Warrant Agreement and 50,000,000 shares of Series A Preferred Stock reserved for issuance pursuant to the Amended and Restated Rights Agreement, dated as of September 1, 2002, between the Company and Mellon Investor Services LLC, as Rights Agent, as amended as described in this Agreement (the "Rights Agreement"). From January 31, 2004 to the date hereof the Company has not issued any shares of Common Stock except pursuant to the exercise of Company Options and the settlement of Common Stock Units outstanding on January 31, 2004 in accordance with their terms. The Company has made available to Cingular prior to the date of this Agreement true and complete copies of the Rights Agreement, the DoCoMo Investor Agreement and the DoCoMo Warrant Agreement, each as amended.

  • Organizational and Capital Structure The organizational structure and capital structure of Holdings and its Subsidiaries shall be as set forth on Schedule 4.1.

As of the Measurement Date, (i) 228,209,888 shares of Company Common Stock (excluding treasury shares) were issued and outstanding (including 119,422 shares of Company Common Stock subject to outstanding Company Restricted Stock Awards), (ii) no shares of Company Common Stock were held by the Company in its treasury and (iii) no shares of Company Preferred Stock were issued and outstanding. All of the outstanding shares of Company Common Stock have been duly authorized, validly issued, fully paid and nonassessable and free of preemptive rights. The shares of Company Common Stock are registered under the Exchange Act. Since the Measurement Date and through the date of this Agreement, the Company has not (A) issued any shares of Company Common Stock (other than upon the exercise or settlement of Company Equity Awards outstanding as of the Measurement Date) or (B) granted any Company Equity Awards or similar awards. The Company does not have outstanding any bonds, debentures, notes or other obligations the holders of which have the right to vote (or convertible into or exercisable for securities having the right to vote) with the stockholders of the Company on any matter.

  • Capital Structure of the Company As of the date of this Agreement, the number of shares and type of all authorized, issued and outstanding capital stock of the Company, and all shares of capital stock reserved for issuance under the Company’s various option and incentive plans is specified on Schedule 3.3. Except as set forth in Schedule 3.3, no shares of capital stock or other equity securities of the Company are issued, reserved for issuance or outstanding. All outstanding shares of capital stock of the Company are duly authorized, validly issued, fully paid and nonassessable and not subject to preemptive rights. Except as set forth on Schedule 3.3, there are no outstanding bonds, debentures, notes or other indebtedness or other securities of the Company having the right to vote (or convertible into, or exchangeable for, securities having the right to vote) on any matters. Except as set forth in Schedule 3.3, there are no outstanding securities, options, warrants, calls, rights, commitments, agreements, arrangements or undertakings of any kind to which the Company is a party or by which it is bound obligating the Company to issue, deliver or sell, or cause to be issued, delivered or sold, additional shares of capital stock or other equity or voting securities of the Company or obligating the Company to issue, grant, extend or enter into any such security, option, warrant, call, right, commitment, agreement, arrangement or undertaking. There are no outstanding contractual obligations, commitments, understandings or arrangements of the Company to repurchase, redeem or otherwise acquire or make any payment in respect of any shares of capital stock of the Company. Except as set forth on Schedule 3.3, there are no agreements or arrangements pursuant to which the Company is or could be required to register shares of Company Common Stock or other securities under the Securities Act of 1933, as amended, and the rules and regulations promulgated thereunder (the “Securities Act”) or other agreements or arrangements with or among any security holders of the Company with respect to securities of the Company.
