Common use of Solvency Opinion Clause in Contracts

Solvency Opinion. The Administrative Agent shall have received a solvency opinion in form and substance and from an independent investment bank or valuation firm reasonably satisfactory to the Administrative Agent to the effect that each of (a) Holdings, the Borrower and the Subsidiary Guarantors, on a consolidated basis, and (b) the Borrower and the Subsidiary Guarantors, on a consolidated basis, in each case after giving effect to the Recapitalization Transactions, are solvent;

Solvency Opinion. The Administrative Agent shall have received received, with a counterpart for each Lender, a solvency opinion in form and substance and reasonably satisfactory to the Agents from an independent investment bank or valuation firm reasonably satisfactory to the Administrative Agent to Agents which shall document the effect that each solvency of Holdings and its Subsidiaries (aincluding the Borrower) Holdingsindividually and taken together as a single entity, the Borrower and the Subsidiary Guarantors, on a consolidated basis, and (b) the Borrower and the Subsidiary Guarantors, on a consolidated basis, in each case after giving effect to the Recapitalization TransactionsAsset Contribution, are solvent;the making of the Loans, the issuance of the Subordinated Debt and the other transactions contemplated hereby and by the Transaction Documents.

Solvency Opinion. The Administrative Agent shall have received a solvency opinion written opinion, in form and substance and from an independent investment bank banking or valuation appraisal firm reasonably satisfactory to the Administrative Agent Agent, as to the effect that each solvency of (a) Holdings, the Borrower and the Subsidiary Guarantors, Loan Parties on a consolidated basis, and (b) the Borrower and the Subsidiary Guarantors, on a consolidated basis, in each case basis after giving effect to the Recapitalization Transactions, are solvent;.

Solvency Opinion. The Administrative Agent shall have received a solvency opinion in form and substance substance, and from an independent investment bank or valuation firm reasonably satisfactory to acceptable to, the Administrative Agent to the effect that each of (a) Holdingsthat, the Borrower Holdings and the Subsidiary Guarantorsits subsidiaries, on a consolidated basis, and (b) the Borrower and the Subsidiary Guarantors, on a consolidated basis, in each case basis after giving effect to the Recapitalization Borrowing under the Facility and the payment of the Special Dividend, and the consummation of the other Transactions, are solvent;Solvent (the “Solvency Opinion”).

Solvency Opinion. The Administrative Agent shall have received a solvency opinion from Xxxxxx, Xxxxxx & Co., reasonably satisfactory in form and substance and from an independent investment bank or valuation firm reasonably satisfactory to the Administrative Agent to Agent, certifying the effect that each Solvency of (a) Holdings, the US Borrower and the Subsidiary Guarantors, its Subsidiaries on a consolidated basis, and (b) the Borrower and the Subsidiary Guarantors, on a consolidated basis, in each case after giving effect to the Recapitalization Transactions, are solvent;Transactions and any other transaction contemplated hereby.

Solvency Opinion. The Administrative Agent shall have received a satisfactory solvency opinion in form and substance and from an independent investment bank or valuation firm reasonably satisfactory to the Administrative Agent to which shall document the effect that each solvency of (a) Holdings, the Borrower and the Subsidiary Guarantors, on a consolidated basis, and (b) the Borrower and the Subsidiary Guarantors, on a consolidated basis, in each case its Subsidiaries after giving effect to the Recapitalization Transactions, are solvent;Transaction and the other transactions contemplated hereby.

Solvency Opinion. The Administrative Agent shall have received received, with a counterpart for each Lender, a solvency opinion in form and substance and reasonably satisfactory to the Lenders from an independent investment bank or valuation firm reasonably satisfactory to the Administrative Agent to Lenders which shall document the effect that each solvency of (a) Holdings, the Borrower and the Subsidiary Guarantors, on a consolidated basis, and (b) the Borrower and the Subsidiary Guarantors, on a consolidated basis, in each case its Subsidiaries after giving effect to the Recapitalization TransactionsAcquisition, are solvent;the making of the Loans and the other transactions contemplated hereby.

Solvency Opinion. The Administrative Agent shall have received received, ---------------- with a counterpart for each Lender, a solvency opinion in form and substance and reasonably satisfactory to the Agents from an independent investment bank or valuation firm reasonably satisfactory to the Administrative Agent to Agents which shall document the effect that each solvency of (a) Holdings, the Borrower and the Subsidiary Guarantors, on a consolidated basis, and (b) the Borrower and the Subsidiary Guarantors, on a consolidated basis, in each case its Subsidiaries after giving effect to the Recapitalization TransactionsBusiness Combination, are solvent;the making of the Loans, the issuance of the Subordinated Debt and the other transactions contemplated hereby.

Solvency Opinion. The Administrative Agent shall have received received, with a solvency copy for each Lender, an opinion in form and substance and from an independent investment bank or valuation firm reasonably satisfactory to the Administrative Agent to documenting the effect that each solvency of (a) Holdings, the Borrower and the Subsidiary Guarantors, on a consolidated basis, and (b) the Borrower and the Subsidiary Guarantors, on a consolidated basis, in each case Borrowers after giving effect to the Recapitalization Transactions, are solvent;(including the fair market value of the Borrower's assets) and the other transactions contemplated hereby.
