Common use of Payment of Consideration Clause in Contracts

Payment of Consideration. The Purchaser shall, following receipt of the Final Order and immediately prior to the filing by the Company of the Articles of Arrangement with the Director, provide the Depositary with sufficient immediately available funds to be held in escrow (the terms and conditions of such escrow to be satisfactory to the Company and the Purchaser, each acting reasonably) to satisfy the aggregate Consideration as provided in the Plan of Arrangement.

Payment of Consideration. (1) The Purchaser shall, following receipt of the Final Order and shall on or immediately prior to the filing by the Company of the Articles of Arrangement with the DirectorClosing provide, provide or cause to be provided to, the Depositary with sufficient immediately available funds to be held in escrow (the terms and conditions of such escrow to be satisfactory to the Company and the Purchaser, each acting reasonably) to satisfy the aggregate Consideration as provided in payable to the Shareholders pursuant to this Plan of Arrangement, with the amount per Share in respect of which Dissent Rights have been exercised being deemed to be the Consideration for this purpose, net of any applicable withholdings for the benefit of the Shareholders, which funds shall be held by the Depositary in escrow as agent and nominee for such Shareholders.

Payment of Consideration. The Purchaser shall, following receipt of the Final Order and immediately prior to the filing by the Company of the Articles of Arrangement with the DirectorRegistrar deposit, provide or cause to be deposited, with the Depositary with sufficient immediately available funds to be held in escrow (and an irrevocable direction for the terms and conditions issuance of such escrow to be satisfactory to the Company and the Purchaser, each acting reasonably) a sufficient number of Consideration Shares as necessary to satisfy the aggregate Consideration to the Company Shareholders and Incentive Award Holders as provided for in the Plan of ArrangementArrangement (other than with respect to the Company Shareholders exercising Dissent Rights).

Payment of Consideration. The Purchaser shall, following receipt of the Final Order and shall on or immediately prior to the filing by Closing, provide, or cause to be provided to, the Company of Depositary sufficient funds to satisfy the Articles aggregate Consideration payable to the Shareholders pursuant to the Plan of Arrangement (other than with respect to Shareholders exercising Dissent Rights as provided in the Plan of Arrangement), into escrow with the Director, provide the Depositary with sufficient immediately available funds to be held in escrow (the terms and conditions of such escrow to be satisfactory to the Company and the Purchaser, each acting reasonably) to satisfy the aggregate Consideration as provided in the Plan of Arrangement).

Payment of Consideration. The Purchaser shall, following receipt of the Final Order and immediately prior to the filing by the Company of the Articles of Arrangement with the DirectorEffective Date, provide the Depositary with (i) the Rollover Consideration and (ii) with sufficient immediately available funds to satisfy the aggregate Consideration for the Common Shares as provided in the Plan of Arrangement, to be held in escrow (the terms and conditions of such escrow to be satisfactory to the Company and the Purchaser, each acting reasonably) to satisfy the aggregate Consideration as provided in the Plan of Arrangement).

Payment of Consideration. The (a) At or before the Closing, the Purchaser shallwill deposit or cause to be deposited with the Depositary, following receipt in escrow for the benefit of the Final Order and immediately prior Absolute Shareholders (other than Dissenting Shareholders), cash in an aggregate amount equal to the filing payment obligations contemplated by the Company of the Articles of Arrangement with the Director, provide the Depositary with sufficient immediately available funds to be held in escrow (the terms and conditions of such escrow to be satisfactory to the Company and the Purchaser, each acting reasonably) to satisfy the aggregate Consideration as provided in the Plan of ArrangementSection 3.1(f).
