Organization in Good Standing. Buyer is a corporation duly organized pursuant to, and in good standing of Nevada, USA. Buyer has full corporate power to conduct its current and currently contemplated business and to enter into this Agreement.
Organization in Good Standing. The Buyer consists of Carmike Cinemas, Inc. a corporation duly organized and existing, and in good standing under the laws of the State of Delaware, and Eastwynn Theatres, Inc., a corporation duly organized and existing, and in good standing under the laws of the State of Alabama. Each member of Buyer has full corporate power to carry on its businesses, to own and operate its properties and assets, and to consummate the transactions contemplated by this Agreement.
Organization in Good Standing. Purchaser is a corporation duly organized, validly existing and in good standing under the laws of the State of Nevada.
Organization in Good Standing. The Dealer is duly organized and is validly existing as a legal entity (corporation, partnership, sole proprietor, LLC, etc.) a corporation in good standing under the laws of state in which it operates, with full power and authority to own its properties and to conduct its business, and had at all relevant times, and shall have power, authority, and legal right to acquire and own the Receivables. The Dealer is duly qualified to do business and has obtained all necessary licenses and approvals in all jurisdictions in which the ownership or lease of property or the conduct of its business requires such qualification. The individual signing this Agreement on behalf of the Dealer has the power and authority to execute and deliver this Agreement and to carry out its terms and the execution on behalf of the Dealer.
Organization in Good Standing. Each of BEA and Acquisition Sub is a corporation duly organized and validly existing and in good standing under the laws of the State of Delaware, and has the corporate power and authority to own, operate and lease its properties and to carry on its business as now conducted. No vote of the holders of capital stock of BEA or Acquisition Sub is required to enter into and perform its obligations under this Agreement.
Organization in Good Standing. Seller is a federal savings bank ----------------------------- duly organized, validly existing and in good standing under the laws of the United States and possesses all requisite power and authority to own and lease its property and to carry on its business as it is now conducted.
Organization in Good Standing. UDC is a corporation duly organized, validly existing and in good standing under the laws of the State of Florida. UDC has all necessary power to own all of its properties and assets and to carry on its business as now being conducted.
Organization in Good Standing. Buyer is an Illinois limited liability company and is duly organized, validly existing and in good standing under the laws of the State of Illinois. Buyer has the full limited liability company power and authority to carry on its business as presently conducted and to own and lease the properties and assets that it now owns and leases. Buyer is qualified to conduct business and is in good standing in all states or other jurisdictions where the nature of the business transacted or properties owned by it makes such qualification necessary and as necessary for Buyer’s full performance of its obligations under this Agreement.

Organization in Good Standing. ESPS has a small office (2 employees) in Crawley, U.K. We are doing business as a non-resident company through a branch of ESPS which does not require registration and is not subject to taxation.
