Organization in Good Standing. The Buyer consists of Carmike Cinemas, Inc. a corporation duly organized and existing, and in good standing under the laws of the State of Delaware, and Eastwynn Theatres, Inc., a corporation duly organized and existing, and in good standing under the laws of the State of Alabama. Each member of Buyer has full corporate power to carry on its businesses, to own and operate its properties and assets, and to consummate the transactions contemplated by this Agreement.

No vote of the holders of capital stock of BEA or Acquisition Sub is required to enter into and perform its obligations under this Agreement.
