Operating Expense Rent. The estimated Operating Expense Rent shall initially be $8.57 per RSF per year, which is equivalent to $1156.24 per month for the Premises, plus any applicable taxes. The Operating Expense Rent is subject to adjustment from time to time as hereinafter set forth.
Operating Expense Rent a. Xxxxxx agrees to pay to Landlord Xxxxxx's Share of Operating Expenses ("Operating Expense Rent") in accordance with the provisions of this Article 5.
Operating Expense Rent. 4.1.1. Tenant agrees to pay its proportionate share, as described below, of any increases in direct operating expenses, as defined below, over the base year's operating expenses. The base year shall be the calendar year of 1994. Tenant's proportionate share shall be 33.15% (total rentable square feet of Demised Premises divided by the total rentable square feet in the Building, including the Demised Premises) subject to expansions and contractions of Tenant's Demised Premises from time to time. Landlord shall, within sixty (60) days after the end of each calendar year of the Term, furnish to Tenant a statement setting forth the actual direct operating expenses for such calendar year and Tenant's proportionate share of increases in said direct operating expenses over the base year direct operating expenses. Tenant shall then remit that amount owed and due to Landlord, in full, within fifteen (15) days after receipt of said statement. In the event any such statement reflects that the amount paid by Tenant during any such calendar year exceeds the amount actually owed by Tenant during such calendar year, then, Tenant shall receive a credit for the full amount of such overpayment, which credit shall be applied, until exhausted in full, against the next installment(s) of increases in direct operating expenses due hereunder. In the event any such overpayment occurs during the last year of the Term, then simultaneously with its delivery of such statement to Tenant, Landlord shall remit the full amount of such overpayment to Tenant. Tenant shall have the right, upon reasonable prior notice, during normal business hours, to audit direct operating expenses for the current Lease Year and for three (3) lease years which immediately precede the then current Lease Year. Thereafter, Tenant shall remit, on the first day of each and every month, during that particular calendar year following Tenant's receipt of Landlord's statement above, one twelfth
Operating Expense Rent. (i) "Appropriate Expense Information" shall mean the actual operating expenses (other than ad valorem taxes) of the applicable Office Building for the period October 1, 1996 through September 30, 1997 and the actual ad valorem taxes which are assessed against said Office Building for 1997; (ii) "Operating Expense Rent" means sums paid by a tenant based upon its share of the operating expenses of a Property or the estimated share of operating expenses (including taxes); and (iii) "Seller's Share" shall be a fraction, the numerator of which shall be number of days from and after January 1, 1997 through the Closing Date and the denominator of which shall be 365. If based upon the Appropriate Expense Information, Purchaser reasonably determines that the Operating Expense Rent paid by any tenants of an Office Building will exceed the operating expenses to be passed through to the tenants of that Office Building (as of the Closing Date, hereafter called "Affected Tenants") for the calendar year 1997 and will require a refund or credit to the Affected Tenants of the excess Operating Expense Rent, Purchaser shall deliver written notice ("Adjustment Notice") to Seller on or before October 31, 1997 ("Operating Expense Adjustment Deadline") together with such information as may be reasonably required to substantiate Purchaser's position. Unless Seller delivers written notice ("Operating Expense Objection") to Purchaser within ten (10) days after delivery of the Adjustment Notice, Seller shall promptly pay
Operating Expense Rent. Tenant's Percentage Share of Operating Expenses. The estimated monthly charge for Operating Expense Rent during the first calendar year of the Term (or portion thereof) is $14,850.00 and shall not exceed $14,850.00 per month.

Operating Expense Rent. From and after the Expansion Premises Commencement Date and continuing during the Extension Term, Lessee’s obligation to pay Operating Expense Rent in accordance with Section 3b of the Lease shall include the square footage of both the Existing Premises and the Expansion Premises, and shall otherwise be payable in accordance with Section 3b of the Lease.
