Common use of Material Inducement Clause in Contracts

Material Inducement. Tenant understands, acknowledges and agrees that (a) Landlord’s option to sublease from Tenant any space which Tenant proposes to sublease or terminate this Lease upon any proposed assignment or encumbrance of this Lease by Tenant as provided in Section 14.3(b) above rather than approve the proposed sublease, assignment or encumbrance, and (b) Landlord’s right to receive any excess consideration paid by a Transferee in connection with an approved Transfer as provided in Section 14.4(d) above, are a material inducement for Landlord’s agreement to lease the Premises to Tenant upon the terms and conditions herein set forth.

Tenant understands, acknowledges and agrees that (a) Landlord’s 's option to sublease from Tenant any space which Tenant proposes to sublease or terminate this Lease upon any proposed assignment or encumbrance of this Lease by Tenant as provided in Section 14.3(bSubparagraph 16.3(b) above rather than approve the proposed sublease, assignment or encumbrance, and (b) Landlord’s landlord's right to receive any excess consideration paid by a Transferee in connection with an approved Transfer as provided in Section 14.4(dSubparagraph 16.4(d) above, are a material inducement for Landlord’s 's agreement to lease the Premises remises to Tenant upon the terms and conditions herein set forth.

Tenant understands, acknowledges and agrees that (a) Landlord’s Landlords' option to sublease from Tenant any space which Tenant proposes to sublease or terminate this Lease upon any proposed assignment or encumbrance of this Lease by Tenant as provided in Section 14.3(b14.2(b) above rather than approve the proposed sublease, assignment or encumbrance, and (b) Landlord’s 's right to receive any excess consideration paid by a Transferee in connection with an approved Transfer as provided in Section 14.4(d14.3(d) above, are a material inducement for Landlord’s 's agreement to lease the Premises to Tenant upon the terms and conditions herein set forth.
