Licensee Data. Licensee acknowledges and agrees that Licensee will be solely responsible for backing-up, and taking all appropriate measures to protect and secure, Licensee Data. Licensee acknowledges that Nuix may make, store and maintain back up copies of Licensee Data, but is not obliged to do so. Nuix will not be liable for any loss or corruption of Licensee Data.
Licensee Data. Licensee retains all ownership and intellectual property rights in and to Licensee’s content, information and data (“Licensee Data”).
Licensee Data. CUSI acknowledges that, as between CUSI and Licensee, Licensee owns all right, title, and interest, including all intellectual property rights, in and to the Licensee Data. Licensee hereby grants to CUSI a non-exclusive, royalty-free, worldwide license to reproduce, distribute, and otherwise use and display the Licensee Data and perform all acts with respect to the Licensee Data as may be necessary for CUSI to provide the CWP Services to Licensee, and a non-exclusive, perpetual, irrevocable, royalty-free, worldwide license to reproduce, distribute, modify, and otherwise use and display Licensee Data incorporated within the Aggregated Statistics.
Licensee Data. In connection with Schrödinger’s provision of the Software, it may be necessary for Schrödinger to obtain, receive, or collect Licensee Data. In such cases, Licensee grants Schrödinger a non-exclusive, worldwide, royalty-free, non-revocable license to use, compile, distribute, display, store, process, or reproduce Licensee’s Data solely to facilitate Schrödinger’s provision of the Software to Licensee. Licensee also grants Schrödinger the right to copy, monitor and maintain such Licensee Data during the Term for backup purposes and to facilitate providing Licensee with the Software. Additionally, Schrödinger may collect and store analytic data based on Licensee’s use of the Software (e.g., application response times, sequence of how Users interact with the Software, etc.) in an anonymous manner not attributable to Licensee specifically. Licensee also grants Schrödinger the right to monitor and to use such data in connection with its internal business purposes (including, without limitation, maintaining and improving the Software). Licensee represents and warrants that Licensee has obtained all rights, permissions, and consents necessary to use and transfer the Licensee Data within and outside of the country in which Licensee is located in conjunction with Schrödinger’s provision of the Software or Licensee’s use of the Software.
Licensee Data. All data stored or managed by means of the Software, including the results of data analysis embodied in the Dashboards and any other reports and outputs generated from the Software, is “Licensee Data.” Licensee Data will be imported from different source systems that Licensee uses (such as XxxxxXxxxx.xxx, Oracle, MS SQL etc.) and may need further transformation such as defining of relationships between tables that come from different databases. Licensee is required to have legal access to all Licensee Data. Licensee is required to comply with data protection laws and regulations and with the terms and conditions regarding the different source systems that Licensee uses. Under no circumstances will Licensor be liable for any destruction or corruption of or damage to Licensee Data or any data that is transferred or used by Licensee by means of the Software. Except for express obligations of Licensor as part of the Sisense Cloud, which are applicable only if Sisense Cloud is purchased by Licensee, it is explicitly agreed that all Licensee Data shall always reside on Licensee’s own servers and systems and Licensee is solely responsible for back up of Licensee Data. As between Licensor and Licensee, all Licensee Data is deemed Licensee’s property.
Licensee Data. Licensee shall maintain and enforce technical and organizational safeguards against accidental, unlawful or unauthorized access to or use of the Software that ensures a level of security appropriate to the risks presented by the use of any software that handles sensitive data, consistent with best industry practice and standards. Licensee shall take all reasonable measures to prevent unauthorized users from having access to Licensee Data, Licensee’s servers or network communications. Licensee acknowledges and agrees that Licensee will be solely responsible for backing-up, and taking all appropriate measures to protect and secure, Licensee Data. Nuix will not be liable for any loss or corruption of Licensee Data.
Licensee Data. 5.1 The Licensee shall own all right, title and interest in and to all of the Licensee Data, and shall have sole responsibility for the legality, reliability, integrity, accuracy and quality of the Licensee Data.
Licensee Data. To the extent that CUSI accesses, stores, or receives Licensee Data in connection with these Technical Support Services, the following provisions apply: (i) CUSI shall implement and maintain reasonable and appropriate administrative, physical, and technical safeguards to protect the confidentiality, availability, and integrity of the Services, including the Licensee Data, to the extent that CUSI hosts the Services; (ii) CUSI acknowledges that, as between CUSI and Licensee, Licensee owns all right, title, and interest, including all intellectual property rights, in and to the Licensee Data. Licensee hereby grants to CUSI a non-exclusive, royalty-free, worldwide license to reproduce, distribute, and otherwise use and display the Licensee Data and perform all acts with respect to the Licensee Data as may be necessary for CUSI to provide the Technical Support and Maintenance Services to Licensee. Notwithstanding the foregoing, CUSI shall have no obligation to store, maintain, or provide back-ups of Licensee Data unless agreed to by the parties in a separate professional services agreement, Sales Agreement, or other written agreement between Licensee and CUSI.
Licensee Data. Merck agrees to use reasonable efforts with Licensee to either (a) seek consent to disclose to Urovant, (b) enter into an agreement, either a three-way agreement between Merck, Licensee and Urovant, or a direct agreement between Licensee and Urovant; in each case of (a) or (b) to allow for Merck to provide to Urovant any data or reports received in final form provided by Licensee after the Effective Date to Merck related to Licensed Compounds, the Clinical Product, Licensed Products in connection with clinical studies, formulation work, manufacturing work, other testing work and regulatory activity; provided, however, in the event that any data or reports of Licensee are required by Urovant to either gain or maintain a Regulatory Approval, Merck shall provide such data or reports to Urovant. Failure of Merck to either obtain consent as described in subsection (a) above or enter into a definitive agreement as described in (b) above shall not be deemed to be a material breach under this Agreement.
Licensee Data. Certain information, data, and other Licensee content provided by Licensee or third parties on Licensee’s behalf (“Licensee Data”) may be required for the proper operation of the Software or in order for Allure to perform mutually agreed services. Licensee shall make available in a timely manner at no charge to Allure all Licensee Data required by Allure for the proper operation of the Software or the performance of its obligations under this Agreement. As between Licensee and Allure, Licensee retains all right, title and interest in and to the Licensee Data. Licensee hereby grants to Allure a limited, royalty-free, non-exclusive, non-transferable license during the Subscription Term to use, copy, reformat, display, disclose and distribute the Licensee Data solely for the purpose of Xxxxxx’s performance its obligations hereunder. Licensee shall be responsible for and assumes the risk and expense of, any problems resulting from, the accuracy, quality, integrity, legality, reliability, and appropriateness of all such Licensee Data. Licensee is responsible for ensuring that Licensee Data is separately backed up.
