Governmental Laws. The Borrower and its consolidated subsidiaries are in compliance in all material respects with all applicable governmental laws and regulations.

RECIPIENT and BAYER agree that each will comply with all applicable federal, state and local laws and regulations, including, without limitation, laws related to anti-corruption, healthcare fraud and abuse, privacy, discrimination, disabilities, fair labor standards, confidentiality, false claims and prohibition of kickbacks. Without limiting the generality of the foregoing, the parties acknowledge that BAYER conducts its relationships with healthcare professionals in compliance with applicable laws (including, without limitation, the U.S. Anti-Kickback Statute, 42 U.S.C. §1320a-7(b)), the PhRMA Code on Interactions with Healthcare Professionals, as amended (the “PhRMA Code”), promulgated by the Pharmaceutical Research and Manufacturers of America (PhRMA), and the Physician Payment Sunshine Act (Section 6002 of the Patient Protection and Affordable Care Act). In furtherance of this intention, please refer to BAYER’s Code of Conduct and applicable policies and procedures under the Anti-Kickback Statute at xxxx://xxx.xxxxx.xx/en/products/bayer-pharmaceuticals/ (“BAYER Policies”). RECIPIENT will conduct its interactions with healthcare professionals (and, to the extent applicable, will cause its employees and subcontractors to conduct their interactions with healthcare professionals) in accordance with all applicable laws and regulations, BAYER Policies and the PhRMA Code.

Lessee shall comply with all governmental laws, rules, regulations, requirements and the Interchange Rules (herein collectively referred to as the “Rules”) with respect to the use, operation and maintenance of the cars, including but not limited to (i) AAR Rule 88 B.2. (Inspection and Repair), (ii) AAR Casualty Prevention Circular 1114 (SS-3 Inspection of Tank Car Stub Xxxxx), and (iii) 49 CFR 180.509 (Qualification and Maintenance of Tank Cars). Lessee, at its expense, shall further comply with the Rules in the event such Rules require a change or replacement of any equipment or appliance on the cars or in case any additional or other equipment or appliance is required to be installed on the cars.

Lessee, at its expense, shall further comply with the Rules in the event such Rules require a change or replacement of such devices, linings or parts.

Governmental Laws. You may not represent that the Company has been approved or endorsed by any governmental agency. If you are found to have violated federal, state or provincial law or the regulatory provision of any jurisdiction in the course of offering the Company business plan or any Company products, you will be subject to termination of your Agreement. You may not attempt to utilize public or private schools, teachers, instructors and/or administrators in any capacity related to product promotional endeavors due to various state prohibitions related to the same, except in their private capacities or as allowed by local applicable law. Any Distributor who is convicted by any government agency of a crime related to or in the course of their LIFESTYLE CONNECTIONS business is subject to immediate termination. Contacts with Government Regulators You may not contact any government regulators e.g. FDA, FTC, various State Departments of Health and/or Health Canada on behalf of the Company. You may not represent the Company if contacted by government regulators. If a government regulator contacts you, you should contact the Compliance Director of the Company.
