Discharge Other Than for Cause or Disability. The Company may terminate my employment at any time for any reason, and without advance notice. If I am terminated by the Company other than for Cause under Section 5(b) or Disability under Section 5(c), I will only receive the special benefits provided for a Discharge other than for Cause or Disability under Section 5(a) if I sign a separation agreement and general release in the form attached hereto as Schedule A and do not thereafter revoke the release.

The Company may terminate my employment at any time for any reason, and without advance written notice, and I will receive the same benefits as specified for “Discharge for Cause” in Section 5(b), above. If I am terminated by the Company other than for Cause or for Disability, I will receive the payments described for “Discharge Other Than For Cause Or For Disability” in the chart in Section 5(b) only if I sign a general release form furnished to me by the Company within 60 days after my employment ends, and I do not thereafter properly revoke the release, if it provides for revocation. Same as for “Discharge for Cause” EXCEPT that, in exchange for my execution of a release in accordance with this section, my base salary, but not my employment, shall continue for up to twelve months and Company will pay COBRA health insurance premiums for me and my family for a like period while I seek other employment. This salary and insurance will be paid 1/12th monthly and will cease upon my commencement of other employment. RESIGNATION Same as for “Discharge for cause “ DEATH Same as for “Discharge for Cause” EXCEPT that payments shall be made to the person or entity prescribed by Company policies. EXPIRATION OF AGREEMENT Same as for “Discharge other than for cause or disability.” CHANGE OF CONTROL Payment of two year’s salary and expected bonus as specified in 4.a. and b. in the event of a change of control after which my employment was ended by either party, plus forward vesting of any equity option held by me and Company will pay COBRA health insurance premiums for me and my family for eighteen (18) months after my employment ends.
Discharge Other Than for Cause or Disability. As explained in Section 2, Catalina may terminate your employment at any time for any reason, and without advance notice. If Catalina terminates you without Cause, you will receive the special benefits provided for in “If Catalina Terminates You Other Than For Cause, Disability or Death” only when you sign a General Release Agreement (Exhibit A) and the release becomes effective.

If I am terminated by the Company other than for Cause or Disability, I will receive the severance benefits provided for a non-Cause/non-Disability discharge under Section 1(a); provided, (execute and do not revoke) a general release and waiver (Release) in a form provided by the Company and within the time prescribed by the Company. I understand that the Release will contain language providing that I shall not receive severance benefits and that I will lose any right I otherwise might have had to such severance benefits if I compete with the Company during the Severance Period.

Same as for “Discharge for Cause” EXCEPT that, in exchange for my execution of a release in accordance with this section, (1) I shall be entitled to receive a lump-sum payment equal to the greater of (x) the sum of my base salary and cash bonus payable through December 31, 2009 (with the cash bonus based on target and assuming the satisfaction of all Annual Performance Measures or (y) 1.5 times the sum of (I) my base salary then payable and (II) the highest annual bonus paid to me during the Term, (2) all restricted stock grants made prior thereto and the Initial Grant shall immediately vest in full, (3) the Performance Compensation Award described in Section 4(d), above, shall immediately vest in full, (4) I may continue to exercise my options that vested on or before my Separation from Service for up to one year following my discharge or, if later, up until the expiration date of such options, and (5) the Company shall pay the COBRA premiums associated with continuing medical insurance coverage for my benefit and the benefit of my spouse and dependent children for 18 months following my date of discharge or such earlier time I shall obtain comparable coverage through another employer. All payments made pursuant to this provision shall be made as promptly as practicable following my Separation from Service, but not later than the March 15th immediately following the year of my Separation from Service. In addition, if the Company exercises its option to extend the Expiration Date to December 31, 2010 under Section 1(b), above, and I am discharged other than for Cause or Disability between January 1, 2010 and December 31, 2010, the Additional Grant shall immediately vest in full. RESIGNATION WITHOUT GOOD REASON Same as for “Discharge for Cause.” RESIGNATION WITH GOOD REASON Same as for “Discharge Other Than for Cause or Disability.”

I may resign my employment within 60 days after a Change of Control in which event I shall only receive the special benefits provided for a Non-Cause Discharge Due to a Change of Control under Section 5(a).

RESIGNATION Same as for “Discharge for Cause.” DEATH Same as for “Discharge for Cause” EXCEPT that the Company shall pay to my spouse or the personal representative of my estate a payment of three times my then annual salary within 30 days of my death, which payment may be insured by one or more Company owned insurance policies on my life. EXPIRATION OF AGREEMENT Same as for “Discharge for Cause.”
