Common use of Chief Executive Officer Clause in Contracts

Chief Executive Officer. The Chief Executive Officer shall, under the direction of the Member and Board of Managers, perform all duties incident to the office of Chief Executive Officer, have general charge of the business, affairs and property of the LLC and general supervision over the other Officers and any of the LLC's employees and agents and see that all orders and resolutions of the LLC are carried into effect.

Chief Executive Officer. Without limiting the foregoing, the Chief Executive Officer shall have all power and authority necessary to fulfill the Chief Executive's Officer's duties under the Xxxxxxxx-Xxxxx Act of 2002. Chief Executive Officer. The Chief Executive Officer shall, under the direction of the Member and Board of Managers, perform all duties incident to the office of Chief Executive Officer, when one is appointed, shall be declared by the Member to be the Chief Executive Officer of the Company and, if so appointed, shall have general charge and active management of the business, affairs and property business of the LLC Company and general supervision over the other Officers and any of the LLC's employees and agents and shall see that all orders and resolutions of the LLC Member are carried into effect. He shall be ex officio a member of all standing committees, unless otherwise provided in the resolution appointing the same. The Chief Executive Officer shall call meetings of the Members and the Member to order and shall act as chairman of such meetings.

Chief Executive Officer. The Chief Executive Officer shall, under the direction of the Member and Board of Managers, perform all shall have such duties as are commonly incident to the office of chief executive or which are delegated to him or her by the Board of Directors. The Chief Executive Officer, Officer shall have general charge management and supervision of the businessproperty, business and affairs and property of the LLC Corporation and shall have general supervision over and direction of all of the other Officers and any of the LLC's officers, employees and agents and see that all orders and resolutions of the LLC are carried into effectCorporation and may execute and deliver in the name of the Corporation powers of attorney, contracts, bonds and other obligations and instruments.

He shall preside at all meetings of the stockholders and, in the absence of the Chairman of the Board, or if there be none, at all meetings of the Board of Managers, perform all duties incident to the office of Chief Executive Officer, have general charge of the business, affairs and property of the LLC and general supervision over the other Officers and any of the LLC's employees and agents and see that all orders and resolutions of the LLC are carried into effectDirectors.

The Chief Executive Officer shall have the power to sign all certificates, contracts and other instruments on behalf of the Corporation.

Chief Executive Officer. Chief Executive Officer. The Chief Executive Officer shall, under jointly with the direction President of the Member Company, have general supervision and control over, and responsibility for the day-to- day operations of the Company, subject to the general policy directions of the Board of Managers, perform all duties incident to the office of Chief Executive Officer, have general charge of the business, affairs and property of the LLC and general supervision over the other Officers and any of the LLC's employees and agents and shall see that all orders and resolutions of the LLC Board of Managers are carried into effecteffect and shall have such other powers and shall perform such other duties as may from time to time be assigned to him/her by the Board of Managers.

Chief Executive Officer. The Chief Executive Officer shall, under the direction of the Member Company shall supervise, coordinate and manage the Company's business and operations, and supervise, coordinate and manage its activities, operating expenses and capital allocation, shall have general authority to exercise all the powers necessary for the Chief Executive Officer of the Company and shall perform such other duties and have such other powers as may be prescribed by the Board of ManagersDirectors or this Agreement, perform all duties incident in accordance with basic policies as may be established by the Board of Directors and subject to the office of Chief Executive Officer, have general charge oversight of the business, affairs and property Board of the LLC and general supervision over the other Officers and any of the LLC's employees and agents and see that all orders and resolutions of the LLC are carried into effectDirectors.

Chief Executive Officer. The Chief Executive Officer shallshall have general charge and control over the affairs of the LLC, under subject to the direction of the Member and Board of ManagersBoard, perform all duties incident to the office of Chief Executive Officer, have general charge of the business, affairs and property of the LLC and general supervision over the other Officers and any of the LLC's employees and agents and shall see that all orders and resolutions of the LLC Board are carried into effectout, shall report thereon to the Board, and shall have such other powers and perform such other duties as shall be prescribed from time to time by the Board. The Chief Executive Officer shall not take any action inconsistent with the Approved Business Plan, the Approved Annual Operating Budget and the Approved Annual Capital Expenditure Budget.

The Chief Executive Officer shall perform all duties incident to the office of Chief Executive Officer, have general charge of Officer and all such other duties as may from time to time be assigned to the business, affairs and property of Chief Executive Officer by the LLC and general supervision over the other Officers and any of the LLC's employees and agents and see that all orders and resolutions of the LLC are carried into effectBoard or these Bylaws.

Chief Executive Officer. The Chief Executive Officer shall have general supervision and direction of the business and affairs of the Corporation, shall be responsible for corporate policy and strategy, and shall report directly to the Board of Directors. Unless otherwise provided in these Bylaws or determined by the Board of Directors, all other officers of the Corporation shall report directly to the Chief Executive Officer or as otherwise determined by the Chief Executive Officer. The Chief Executive Officer shall, under if present and in the direction absence of the Member and Board of ManagersChairman, perform all duties incident to the office of Chief Executive Officer, have general charge preside at meetings of the business, affairs and property of the LLC and general supervision over the other Officers and any of the LLC's employees and agents and see that all orders and resolutions of the LLC are carried into effectstockholders.

Chief Executive Officer. The Chief Executive Officer shall, under shall be the direction principal operating officer of the Member and Board Company and, subject to the control of Managersthe Board, shall in general direct the business operations of the Company. He or she shall perform all duties incident to the office of Chief Executive Officer, have general charge of Officer and such other duties as may be prescribed by the business, affairs and property of the LLC and general supervision over the other Officers and any of the LLC's employees and agents and see that all orders and resolutions of the LLC are carried into effectBoard or this Agreement from time to time.

Chief Executive Officer. The Chief Executive Officer shall, under shall have the direction general administrative responsibility for the activities of the Member Authority and Board shall appoint all necessary employees thereof, subject to prior authorization of Managers, each position by the Executive Committee and shall perform all such other duties incident to as may be assigned by the office of Chief Executive Officer, have general charge of the business, affairs and property of the LLC and general supervision over the other Officers and any of the LLC's employees and agents and see that all orders and resolutions of the LLC are carried into effectCommittee.
