Amendment of Article. 9 Paragraph 2 of Article 9 (Associated Enterprises) of this Agreement is deleted and replaced by the following paragraph:
Amendment of Article. 10 Paragraphs 7 and 8 of Article 10 (Dividends) are deleted.
Amendment of Article. 12 Paragraphs 8 and 9 of Article 12 (Royalties) are deleted.
Amendment of Article. 5 Sub-paragraph (f) of paragraph 4 of Article 5 (Permanent Establishment) of this Convention is deleted and replaced by the following sub-paragraphs:
Amendment of Article. 22 Paragraph 3 of Article 22 (Mutual Agreement Procedure) of this Agreement is amended by inserting, immediately after the words “or application of the Agreement.”, the words “They may also consult together for the elimination of double taxation in cases not provided for in the Agreement.”.
Amendment of Article. Any changes in the General Corporation Law of Delaware increasing, decreasing, amending, changing or otherwise effecting the indemnification of directors, officers, agents, or employees of the Corporation shall be incorporated by reference in this Article as of the date of such changes without further action by the Corporation, its Board of Directors, of Shareholders, it being the intention of this Article that directors, officers, agents and employees of the Corporation shall be indemnified to the maximum degree allowed by the General Corporation Law of the State of Delaware at all times. Amendment of Article. 13 The provisions of this Article 13, other than Sections 13.2, 13.6 and 13.8 and this Section 13.15, may be amended or added to, from time to time, by execution by the Lenders of an instrument in writing and such instrument in writing shall validly and effectively amend or add to any such provisions of this Article 13 without requiring the execution of such instrument in writing by the Borrower provided such amendment or addition does not adversely affect or alter the rights or obligations of the Borrower hereunder. The Lenders and the Agent shall furnish to the Borrower a copy of any such instrument in writing amending any such provisions of Article 13.
