Valuation Period definition

Valuation Period shall have the meaning specified in Section 14.04(c).
Valuation Period means the period following a Valuation Date and ending with the next Valuation Date.

  • In all other cases, a cash amount equal to (x) the Number of Shares as of the Valuation Date less Shortfall Sale Shares, less the number of Unregistered Shares (as defined below), multiplied by the volume weighted daily VWAP Price over the Valuation Period, less (y) the amount of any outstanding Prepayment Shortfall.

Valuation Period means the period of five (5) Trading Days immediately following the date on which the applicable Put Notice is deemed to be delivered and during which the Purchase Price of the Common Stock is valued; provided, however, that if a Valuation Event occurs during any Valuation Period, a new Valuation Period shall begin on the Trading Day immediately after the occurrence of such Valuation Event and end on the fifth (5th) Trading Day thereafter.
