Subcontractor represents and warrants that it shall comply fully with the anti-bribery provisions of the U.S. Foreign Corrupt Practices Act, as amended (“FCPA”), as well as the a) UN Convention against Corruption (UNCAC), b) OECD Convention on the Bribery of Foreign Public Officials (OECD Convention); and c) any other applicable local anti-corruption laws, rules, and regulations if any part of this subcontract will be performed outside of the United States of America.
In addition to other rights or remedies under this Contract or at law, Sponsor and/or IQVIA may terminate this Contract if Institution breaches any of the representations or warranties contained in this Section or if IQVIA or Sponsor learns that improper payments are being or have been made to Public Officials by Institution or any individual or entity acting on its behalf.
Customer agrees that it now and in future shall comply with national law on prevention of bribery, as well as any other law transforming from ratification of the OECD Convention on Combating Bribery of Foreign Public Officials in International Business Transactions (including the US Foreign Corrupt Practices Act).
Each participating organization will be responsible for its own actions and those of its employees and volunteers and will be responsible for complying with the New Hampshire Vehicle Insurance Laws General Liability, Public Officials, and Law Enforcement Liability NH RSA 154:25 Rights, Privileges, Immunities.
