Custodian shall not be deemed to have knowledge or notice of the occurrence of any default or event of default under the Loans unless Custodian has received notice from a Fund referring to this Loan Servicing Agreement, describing such default or event of default and stating that such notice is a “notice of default.” Such notice will be delivered in a manner permitted under the Custody Agreement.
As of the closing date, Xxxxxx commits to disburse Loan principal in the total Loan Commitment Amount.
The parties understand and agree that this Loan Servicing Agreement shall be subject to the term and conditions of the Custody Agreement.
