Listed Employee definition

Listed Employee means an employee of the Brimbank City Council, the Darebin City Council, the Mildura Rural City Council or the Wyndham City Council who is eligible for inclusion on a list prepared under clause 15;

Listed Employee means each individual who, as of the applicable date of determination, is exclusively or primarily engaged in the HHI Business, as determined in good faith by Seller, each of whom shall be listed on Section 1.01(j) of the Seller Disclosure Schedule.

Listed Employee shall have the meaning set forth in Section 9.1 hereof;

• Each Listed Employee who accepts such offer of employment and who commences employment with Buyer or an Affiliate of Buyer as of the Closing Date shall be referred to herein as a “Continuing Business Employee.” Buyer shall have sole Liability for any Losses arising out of or resulting from any claims brought by any Business Employee resulting from or attributable to the sharing of information to assist in the selection of those Business Employees to receive offers of employment from Buyer.

• Nothing in this Agreement shall preclude Seller or its Affiliates from terminating the employment of any Business Employee for cause prior to the Closing, nor, from and after the date on which Buyer offers employment to the Listed Employees as contemplated by this Section 6.10(a), from terminating for any reason any Business Employee who is not a Listed Employee or who is a Listed Employee but does not accept Buyer’s offer of employment.

• Nothing herein shall be deemed to require the Purchaser or any Affiliate of the Purchaser to hire any Employee or to continue the employment of or provide any particular level of compensation or benefits to any Listed Employee actually hired by the Purchaser or any Affiliate of the Purchaser.

• No later than 20 Business Days after the date of this Agreement, Buyer or an Affiliate of Buyer shall offer employment, effective as of the Closing Date, to each Listed Employee.

• Until the Termination Date, you agree to continue to abide by DoubleClick's xxxxxxx xxxxxxx policies, for which purposes you shall remain a "Listed Employee." Following the Termination Date until 2 January 2003, you agree to notify DoubleClick in advance of any planned stock sales, although it is acknowledged that you will no longer be subject to DoubleClick's xxxxxxx xxxxxxx policies following the Termination Date.

More Definitions of Listed Employee

Listed Employee shall have the meaning given in SECTION 5.5.

Listed Employee means each employee of the Company who is set forth on Schedule 8.1(k) under the heading “Listed Employees.”

Listed Employee shall refer to (i) those individuals serving in the top three levels of Company management (inclusive of all Section 16 officers) in the rolling 12-month period prior to the Executive’s termination of employment, (ii) those sales personnel who collectively received the top 20% of the Company’s sales commissions paid in the rolling 12-month period prior to the Executive’s termination of employment, and (iii) those independent contractors who are serving in the top three levels of Company management, or who would be serving in the top three levels of Company management but for the fact that they are independent contractors. Promptly following the end of each calendar quarter, the Executive shall create a list of the Listed Employees comprising the list set forth in (i), (ii), and (iii) and shall deliver such list to the Committee. Following the Executive’s termination of employment, the Listed Employees shall be those individuals on the most recently prepared list.
