The notifying Party shall: (i) provide the notice as soon as practicable, provided such Party makes a good faith effort to provide the notice no later than twenty-four hours after such Party becomes aware of the occurrence; and (ii) promptly furnish to the other Party copies of any publicly available reports filed with any Governmental Authorities addressing such events.
Each Party’s obligations under this Agreement shall be subject to its receipt of any required approval or certificate from one or more Governmental Authorities in the form and substance satisfactory to the applying Party, or the Party making any required filings with, or providing notice to, such Governmental Authorities, and the expiration of any time period associated therewith.
The Lessee, and such Persons as may be designated by the Lessee and such Governmental Authorities, shall have the right, at any reasonable time at their own expense, subject to prior notice to [AIRLINE], to examine, make copies of, take extracts from and audit such books, records and accounts, but (with respect to such right to audit) only such books, records and accounts that relate to the computation and payment of the Airlines’ Annual Contributions.
The Parties will comply with all applicable comparability and code of conduct laws, rules and regulations including such laws, rules and regulations of Governmental Authorities establishing standards of conduct, as amended from time to time.
To the best of Bxxxxxxx’s knowledge, Bxxxxxxx has obtained all requisite approvals, permits and other authorizations from all Governmental Authorities with jurisdiction over the Property, Borrower and Bxxxxxxx's businesses.
