Company’s Reports means (i) the Company’s Annual Report on Form 10-K for the year ended December 31, 2019, as filed with the SEC, including the audited financial statements contained therein and the information from the Company’s definitive proxy statement for its 2020 annual meeting of shareholders incorporated by reference into the Form 10-K; and (ii) the Company’s Quarterly Report on Form 10-Q for the quarter ended March 31, 2020, as filed with the SEC, including the unaudited financial statements contained therein.

Company’s Reports means (a) audited financial statements of the Company included in the SEC Reports for the years ended December 31, 2020 and December 31, 2019; (b) unaudited financial statements of the Company included in the SEC Reports for the period ended March 31, 2021; and (c) the Company’s reports for the period ended June 30, 2020 and the year ended December 31, 2020 as filed with the FRB as required by regulations of the FRB.

Company’s Reports means (i) audited consolidated financial statements of Company as of and for the year ended December 31, 2020; (ii) the unaudited financial statements of Company as of and for the three months ended March 31, 2021; and (iii) Company’s report as of and for the twelve months ended December 31, 2020 as filed with the Federal Financial Institutions Examination Council.

Examples of Company’s Reports in a sentence

• Such existing Leases and commitments to Lease constitute or will constitute operating Leases for both tax and financial accounting purposes except as otherwise disclosed in the Company’s Reports and the Lease expense and minimum rental commitments with respect to such Leases and Lease commitments are as disclosed in all material respects in the Company’s Reports.

• It has reviewed the information set forth in the Company’s Reports, the exhibits hereto and the information contained in the data room established by the Company in connection with the transactions contemplated by this Agreement.

Company’s Reports means the Company’s annual, quarterly and other reports, schedules, forms, statements and other documents (including exhibits and other information incorporated therein) filed or furnished by the Company with the SEC under the Securities Act, Exchange Act, or the regulations thereunder, in each case since January 1, 2017.

Company’s Reports means (i) the Company’s Annual Report on Form 10-K for the year ended December 31, 2020, as filed with the SEC on March 12, 2021, including the audited financial statements of the Company contained therein; (ii) the Company’s Quarterly Reports on Form 10-Q for the quarter ended March 31, 2021, as filed with the SEC on May 6, 2021, and for the quarter ended June 30, 2021, as filed with the SEC on August 6, 2021, including the unaudited financial statements of the Company contained therein and (iii) the Company’s public reports for the year ended December 31, 2020 and the periods ended March 31, 2021 and June 30, 2021; as filed with the FRB and FDIC as required by regulations of the FRB and FDIC, respectively.

Company’s Reports means (a) the Company’s annual report on Form 10-K for the year ended December 31, 2018, as filed with the SEC, (b) the Company’s quarterly reports on Form 10-Q, as filed with the SEC since December 31, 2018, (c) any Current Report on Form 8-K, as filed or finished by Company with the SEC since December 31, 2018, (d) the Consolidated Report of Condition and Income on Form FFIEC 051 filed by the Bank for the period ended September 30, 2019 and (e) the Parent Company Only Financial Statements on Form FR Y-9SP for the period ended June 30, 2019.

Company’s Reports means (i) audited financial statements of Company for the year ended December 31, 2018; (ii) the unaudited financial statements of Company for the quarter ended September 30, 2019 and (iii) Company’s reports for the year ended December 31, 2018 and the quarter ended September 30, 2019 as filed with the FRB.

Company’s Reports means (i) the Company’s Annual Report on Form 10-K for the year ended December 31, 2019, as filed with the SEC, including the audited financial statements contained therein; (ii) the Company’s Quarterly Report on Form 10-Q for the quarter ended March 31, 2020, as filed with the SEC, including the unaudited financial statements contained therein, (iii) the Company’s Quarterly Report on Form 10-Q for the quarter ended June 30, 2020, as filed with the SEC, including the unaudited financial statements contained therein; (iv) the Company’s Quarterly Report on Form 10-Q for the quarter ended September 30, 2020, as filed with the SEC, including the unaudited financial statements contained therein; (v) the Company’s Proxy Statement related to its 2020 Annual Meeting of Shareholders, as furnished to the SEC; and (vi) the Company’s public reports for the year ended December 31, 2019 and the period ended June 30, 2020 as filed with the Federal Reserve as required by regulations of the Federal Reserve.

Company’s Reports shall have the meaning given to that term in Section 3.2(g)(i).
