Common use of Payment in Full Clause in Contracts

Payment in Full. On the applicable Purchase Date for each Transferred Asset, the Seller had no actual knowledge of any fact which leads it to expect that any payments on the applicable Transferred Asset will not be paid in full when due or to expect any other material adverse effect on (A) the performance by the Seller of its obligations under this Agreement or any of the Transaction Documents to which it is a party, (B) the validity or enforceability of this Agreement or any of the Transaction Documents to which it is a party, or (C) the Transferred Assets or the interests of the Seller therein.

On the applicable Purchase Date for each Transferred Asset, the Intermediate Seller had no actual knowledge of any fact which leads it to expect that any payments on the applicable Transferred Asset will not be paid in full when due or to expect any other material adverse effect on (A) the performance by the Intermediate Seller of its obligations under this Agreement or any of the Transaction Documents to which it is a party, (B) the validity or enforceability of this Agreement or any of the Transaction Documents to which it is a party, or (C) the Transferred Assets or the interests of the Intermediate Seller therein.

On As of the applicable Purchase Date for each Transferred Assetdate of Conveyance, the Seller had has no actual knowledge of any fact which leads it to expect that any payments on the applicable Transferred Asset Assets at the time of Conveyance will not be paid in full when due or to expect any other material adverse effect on (Ai) the performance by the Seller of its obligations under this Agreement or any of the Transaction other Loan Documents to which it is a party, (Bii) the validity or enforceability of this Agreement or any of the Transaction other Loan Documents to which it is a party, or (Ciii) the Transferred Assets or the interests of the Seller therein.
