Common use of Credit Agreement and Notes Clause in Contracts

Credit Agreement and Notes. The Administrative Agent shall have received (i) counterparts of this Agreement executed by the Borrower, the Administrative Agent and each of the Lenders and of any promissory notes requested by the Lenders pursuant to Section 2.05 executed by the Borrower, or (ii) written evidence satisfactory to the Administrative Agent (which may include telecopy transmission of signed counterparts) that such parties have signed such counterparts.

Credit Agreement and Notes. The Administrative Agent shall have received (i) counterparts this Agreement, (A) executed and delivered by a duly authorized officer of this Agreement executed by the Borrower, with a counterpart for each Lender, and (B) executed and delivered by a duly authorized officer of the Administrative Agent and each of the Lenders and of any promissory notes requested by the Lenders pursuant to Section 2.05 executed by the BorrowerLender, or (ii) written evidence satisfactory for the account of each (as applicable) Lender, a Revolving Credit Note and/or Term Note, with each such Note conforming to the Administrative Agent (which may include telecopy transmission requirements hereof and executed by a duly authorized officer of signed counterparts) that such parties have signed such counterpartsthe Borrower.
