Common use of Corporate Action Clause in Contracts

Corporate Action. All corporate action necessary for the valid execution, delivery and performance by the Borrower and the Guarantor of the Loan Documents shall have been duly and effectively taken, and evidence thereof certified by authorized officers of the Borrower and the Guarantor and satisfactory to the Administrative Agent shall have been provided to the Banks.

Corporate Action. All corporate action necessary for the valid execution, delivery and performance by the Borrower and the Guarantor Borrowers of the Loan Documents shall have been duly and effectively taken, and evidence thereof certified by authorized officers of the Borrower and the Guarantor Borrowers and satisfactory to the Administrative Agent Banks shall have been provided to the Banks.

Corporate Action. All corporate (or equivalent company or partnership) action necessary for the valid execution, delivery and performance by the Borrower and the Guarantor Borrowers of the Loan Documents shall have been duly and effectively taken, and satisfactory evidence thereof certified by authorized officers of the Borrower and the Guarantor and satisfactory to the Administrative Agent shall have been provided to the BanksAdministrative Agent.

Corporate Action. All corporate action necessary for the valid execution, delivery and performance by the each Borrower and the Guarantor of the Loan Documents shall have been duly and effectively taken, and evidence thereof certified by authorized officers of the Borrower and the Guarantor and satisfactory to the Administrative Agent shall have been provided to the BanksAgent.

Corporate Action. All corporate action necessary for the valid execution, delivery and performance by the Borrower and the Guarantor Guarantors of the Loan Documents shall have been duly and effectively taken, and evidence thereof certified by authorized officers of the Borrower and the Guarantor Guarantors and satisfactory to the Administrative Agent Majority Banks shall have been provided to the Banks.

Corporate Action. All corporate action necessary for the valid execution, delivery and performance by the Borrower and the Guarantor Borrowers of the Loan Documents shall have been duly and effectively taken, and satisfactory evidence thereof certified by authorized officers of the Borrower and the Guarantor and satisfactory to the Administrative Agent shall have been provided to the BanksAgent.

All corporate action necessary for the valid execution, delivery and performance by the each Borrower and the Guarantor of the Loan Documents and the Senior Subordinated Debt Documents shall have been duly and effectively taken, and evidence thereof certified by authorized officers of the Borrower and the Guarantor and satisfactory to the Administrative Agent shall have been provided to the BanksAdministrative Agent.

All corporate action necessary for the valid execution, delivery and performance by the Borrower and the Guarantor of the Loan Documents shall have been duly and effectively taken, and evidence thereof certified by authorized officers of the Borrower and the Guarantor and satisfactory to the Administrative Agent Banks shall have been provided to the Banks.

All corporate action necessary for the valid execution, delivery and performance by the each Borrower and the Guarantor of the Loan Documents shall have been duly and effectively taken, and evidence thereof certified by authorized officers of the Borrower and the Guarantor and satisfactory to the Administrative Agent Lender shall have been provided to the BanksLender.

Corporate Action. All corporate action necessary for the valid execution, delivery and performance by the each Borrower and the Guarantor of the Loan Documents shall have been duly and effectively taken, and satisfactory evidence thereof certified by authorized officers of the Borrower and the Guarantor and satisfactory to the Administrative Agent shall have been provided to the BanksAdministrative Agent.

All corporate action necessary for the valid execution, delivery and performance by the Borrower and the Guarantor Credit Parties of the Loan Documents shall have been duly and effectively taken, and satisfactory evidence thereof certified by authorized officers of the Borrower and the Guarantor and satisfactory to the Administrative Agent shall have been provided to the BanksAgent.

Corporate Action. All corporate action necessary for the valid execution, delivery and performance by bY the Borrower and the Guarantor Borrowers of the Loan Documents shall have been duly and effectively taken, and satisfactory evidence thereof certified by authorized officers of the Borrower and the Guarantor and satisfactory to the Administrative Agent shall have been provided to the BanksAgent.

Corporate Action. All corporate action necessary for the valid execution, delivery and performance by the Borrower and the Guarantor of the Loan Documents shall have been duly and effectively taken, and evidence thereof certified by authorized officers of the Borrower and the Guarantor and satisfactory to the Administrative Agent shall have been provided to the BanksAgent.

All corporate action on the part of the Borrower necessary for the valid execution, delivery and performance by the Borrower and the Guarantor of the Loan Documents shall have been duly and effectively taken, and evidence thereof certified by authorized officers of the Borrower and the Guarantor and satisfactory to the Administrative Agent shall have been provided to the Banks.

Corporate Action. All corporate action necessary for the valid execution, delivery and performance by the Borrower and the Guarantor Guarantors, including Astrotech, of the Loan Documents shall have been duly and effectively taken, and satisfactory evidence thereof certified by authorized officers of the Borrower and the Guarantor and satisfactory to the Administrative Agent shall have been provided to the BanksAgent.

Corporate Action. All corporate action necessary for the valid execution, delivery and performance by the each Borrower and the Guarantor of the Loan Documents shall have been duly and effectively taken, and satisfactory evidence thereof certified by authorized officers of the Borrower and the Guarantor and satisfactory to the Administrative Agent shall have been provided to the BanksAgent.

Corporate Action. All corporate action necessary for the valid execution, delivery and performance by the Borrower Borrowers and the Guarantor Sanifill of the Loan Documents shall have been duly and effectively taken, and evidence thereof certified by authorized officers of the Borrower Borrowers and the Guarantor Sanifill and satisfactory to the Administrative Agent Banks shall have been provided to the Banks.

Corporate Action. All corporate action necessary for the valid execution, delivery and performance by the Borrower and the Guarantor of the Loan Documents shall have been duly and effectively taken, and evidence thereof certified by authorized officers of the Borrower and the Guarantor and satisfactory to the Administrative Agent shall have been provided to the Banks.. 63 -57-

All corporate action necessary for the valid execution, delivery and performance by the each Borrower and the Guarantor of the Loan Documents shall have been duly and effectively taken, and evidence thereof certified by authorized officers of the Borrower and the Guarantor and satisfactory to the Administrative Agent shall have been provided to the BanksAdministrative Agent.

Corporate Action. All corporate action necessary for the valid execution, delivery and performance by the each Borrower and the Guarantor of the Loan Documents shall have been duly and effectively taken, and evidence thereof certified by authorized officers of the each Borrower and the Guarantor and satisfactory to the Administrative Agent shall have been provided to the Banks.

Corporate Action. All corporate action necessary for the valid execution, delivery and performance by the Borrower Company and the Guarantor of the Loan Documents shall have been duly and effectively taken, and evidence thereof certified by authorized officers of the Borrower Company and the Guarantor and satisfactory to the Administrative Agent shall have been provided to the Banks.

Corporate Action. All corporate action required by law of the Borrower necessary for the valid execution, delivery and performance by the Borrower and the Guarantor of the Loan Documents shall have been duly and effectively taken, and evidence thereof certified by authorized officers of the Borrower and the Guarantor and satisfactory to the Administrative Agent shall have been provided to the Banks.
