Common use of Compliance Clause in Contracts

Compliance. (a) Subadviser will comply with (i) all applicable state and federal laws and regulations governing the performance of the Subadviser’s duties hereunder, (ii) the investment objective, policies and limitations, as provided in the Fund’s Prospectus and other governing documents, and (iii) such instructions, policies and limitations relating to the Fund and/or the oversight of the Subadviser’s performance of its duties hereunder as the Trustees or Manager may from time to time adopt and communicate in writing to subadviser.

Compliance. (a) Subadviser will comply with (i) all applicable state and federal laws and regulations governing the performance of the Subadviser’s duties hereunder, (ii) the investment objective, policies and limitations, as provided in the FundPortfolio’s Prospectus and other governing documents, and (iii) such instructions, policies and limitations relating to the Fund Portfolio and/or the oversight of the Subadviser’s performance of its duties hereunder as the Trustees or Manager may from time to time adopt and communicate in writing to subadviser.

Compliance. (a) Subadviser will comply with (i) all applicable state and federal laws and regulations governing the performance of the Subadviser’s 's duties hereunder, (ii) the investment objective, policies and limitations, as provided in the Fund’s Portfolio's Prospectus and other governing documents, and (iii) such instructions, policies and limitations relating to the Fund Portfolio and/or the oversight of the Subadviser’s 's performance of its duties hereunder as the Trustees or Manager may from time to time adopt and communicate in writing to subadviser.

Compliance. (a) Subadviser will comply with (i) all applicable U.S. state and federal laws and regulations, and any applicable regulations of the UK Financial Conduct Authority governing the performance of the Subadviser’s duties hereunder, (ii) the investment objective, policies and limitations, as provided in the Fund’s Prospectus Registration Statement and other governing documents, as provided to Subadviser, and (iii) such instructions, policies and limitations relating to the Fund and/or the oversight of the Subadviser’s performance of its duties hereunder as the Trustees or Manager Adviser may from time to time-to-time adopt and communicate in writing to subadviserSubadviser.

(a) Subadviser Sub-adviser will comply with (i) all applicable state and federal laws and regulations governing the performance of the SubadviserSub-adviser’s duties hereunder, (ii) the investment objective, policies and limitations, as provided in the FundPortfolio’s Prospectus and other governing documents, and (iii) such instructions, policies and limitations relating to the Fund Portfolio and/or the oversight of the SubadviserSub-adviser’s performance of its duties hereunder as the Trustees or Manager may from time to time adopt and communicate in writing to subadviserSub-adviser.

(a) Subadviser Sub-adviser will comply with (i) all applicable state and federal laws and regulations governing the performance of the SubadviserSub-adviser’s duties hereunder, (ii) the investment objective, policies and limitations, as provided in the FundPortfolio’s Prospectus and other governing documents, and (iii) such instructions, policies and limitations relating to the Fund Portfolio and/or the oversight of the SubadviserSub-adviser’s performance of its duties hereunder as the Trustees or Manager may from time to time adopt and communicate in writing to subadvisersub-adviser.

(a) Subadviser will comply with (i) all applicable state and federal laws and regulations governing the performance of the Subadviser’s 's duties hereunder, (ii) the investment objective, policies and limitations, as provided in the Fund’s Portfolios' Prospectus and other governing documents, as provided to the Subadviser, and (iii) such instructions, policies and limitations relating to the Fund and/or the oversight of the Subadviser’s performance of its duties hereunder Portfolios as the Trustees or Manager may from time to time adopt and communicate in writing to subadviserSubadviser.

Compliance. (a) Subadviser will comply with (i) all applicable state and federal laws and regulations governing the performance of the Subadviser’s duties hereunder, (ii) the investment objective, policies and limitations, as provided in the FundTrust’s Prospectus prospectus and other governing documents, as provided to Subadviser, and (iii) such instructions, policies and limitations relating to the Fund and/or the oversight of the Subadviser’s performance of its duties hereunder Trust as the Trustees or Manager Adviser may from time to time-to-time adopt and communicate in writing to subadviserSubadviser.

Compliance. (a) Subadviser will comply with (i) all applicable state and federal laws and regulations governing the performance of the Subadviser’s duties hereunder, (ii) the investment objective, policies and limitations, as provided in the FundPortfolio’s Prospectus and other governing documents, and (iii) such instructions, policies and limitations relating to the Fund Portfolio and/or the oversight of the Subadviser’s performance of its duties du- ties hereunder as the Trustees or Manager may from time to time adopt and communicate in writing to subadviser.
