Vesting Date definition

Vesting Date has the meaning set forth in Section 3.10(c)(ii).

Vesting Date means the date established by the Committee on which a share of Restricted Stock or Phantom Stock may vest.

Vesting Date shall have the meaning described in Section 3(a) of this Agreement.

Examples of Vesting Date in a sentence

• Unless sooner vested in accordance with the terms of the Plan and this Agreement, the Option granted hereunder will vest (i.e., become exercisable) in accordance with the following schedule: Vesting Date Number of Shares Exercisable As set forth in Section 10 of this Agreement, vesting will automatically accelerate pursuant to Sections 2.7 and 4.1 of the Plan in the event of death or Disability or an Involuntary Termination of Service at or following a Change in Control.

• Each Performance Unit represents the right to receive a Share on the Vesting Date.

• Upon a Change of Control that occurs prior to the last Scheduled Vesting Date, if you continue to provide services at the time of such Change of Control, then all outstanding and unvested RSUs (including any RSUs replaced with a Replacement Award in compliance with Section 8(b) of the Plan) shall remain outstanding and unvested, and shall continue to vest in accordance with the time-based vesting conditions set forth in Section 3(a).

• Except as otherwise provided in this Award Agreement, the RSUs will become vested in part on each of the five dates set forth below (each, a “Scheduled Vesting Date”), subject to your continued service with the Company or an Affiliate (in an employee or non-employee capacity) through the applicable Scheduled Vesting Date.

• Subject to the provisions of Section 4, such vested Performance Units shall be paid in whole Shares as soon as practicable after vesting, but in each such case within the period 60 days following the Vesting Date.

More Definitions of Vesting Date

Vesting Date means any date, including the Scheduled Vesting Dates specified in the Vesting Schedule on the cover page of this Agreement, on which Units subject to this Agreement vest as provided in this Section 4.

Vesting Date means each vesting date set forth in the Notice.

Vesting Date means the Policy Anniversary coinciding with or immediately following the Life Assured attaining Age 18 if the Life Assured was a minor on the Risk Commencement Date. Part C of this Policy will specify whether and under which conditions this Policy will vest with the Life Assured.

Vesting Date means, as applicable: (i) the date on which the restrictions imposed on a Share of Restricted Stock lapse or (ii) the date on which the Grantee vests in a Restricted Stock Unit.

Vesting Date means the date on which your rights with respect to all or a portion of the Options subject to this Award Agreement may become fully vested, and the restrictions set forth in this Award Agreement may lapse, as provided in Section 3(a) of this Award Agreement.

Vesting Date means the date on which the restrictions imposed under Paragraph 3 on a Restricted Share lapse, as provided in Paragraph 4.

Vesting Date means each date specified in the Grantee’s Award Agreement as a date on which part or all of an Award becomes Vested.
