Examples of Unvested Units in a sentence
Subject to the Acquiror’s assumption, continuation or substitution for the Remaining Units pursuant to Section 8(b), after the Change in Control, the remainder of the Unvested Units (the “Remaining Units”) shall continue to vest on a straight-line, monthly vesting schedule, and the vesting schedule described in Section 4 above shall no longer be in effect.
Such percentage shall be the percentage of Unvested Units that, on the date of the Change of Control, would have been vested had such Unvested Units been subject to a straight-line, monthly vesting schedule beginning January 1, 2008 and ending December 31, 2011.
In the event of a Change in Control Transaction during the three-year vesting period following the Performance Period, any Unvested Units will accelerate in vesting and become Vested Units immediately prior to such transaction.
In the event that a Member's Continuous Service with the Company or an Affiliate is terminated by the death or Disability of such Member, the vesting of all of such Member's Unvested Units shall accelerate, and such Unvested Units shall be deemed to be Vested Units.
The Units consisting of the Retained Equity shall “vest” (and therefore will no longer be Unvested Units subject to the TPC Member’s repurchase right set forth in this Section 9.11), in three (3) equal annual installments beginning on the first anniversary of the date of this Agreement.
