Unit Securities definition

Unit Securities means investment units comprised of (a) mandatorily redeemable preferred securities (i) issued by one or more Delaware business trusts formed by Conseco and (ii) guaranteed by Conseco, including specifically, "MIPS," QuIPS," "TOPrS" and "TruPS," and (b) equity forward contracts for the purchase of common stock of Conseco (which forward contracts shall have a settlement date that is earlier than the stated maturity of such preferred securities) collateralized by such preferred securities or government securities in lieu thereof (including, without limitation, principal and interest strips thereof).
Unit Securities means the Common Stock and Warrants to be comprised in the Units.

  • The Corporation has full corporate power and authority to issue the Special Warrants, Compensation Options, Unit Securities and Warrant Shares.

  • All corporate action required to be taken by the Corporation for the authorization, issuance, sale and delivery of the Unit Securities, Compensation Options, Warrant Shares and Compensation Option Shares has been validly taken at the date hereof or will have been taken by the Closing Date.

Unit Securities means the (i) Pari Passu Notes, (ii) Subordinated Notes, (iii) Lafitte Notes, (iv) Preferred Units, (v) Debt Warrant, and (vi) Preferred Warrant, each as described in the September Subscription Agreement, purchased by the Holders pursuant to the September Subscription Agreement.
