Threshold Goal definition

Threshold Goal means achievement of at least 50% of target for any one of Revenue, Income, or Earnings Per Share.
Threshold Goal means any performance goal that may be established by the Committee for the Performance Period and which is the minimum performance level that must be attained in order to any portion of an Actual Award to be earned for such Performance Period absent a Change in Control prior to expiration of such Performance Period. The Committee may, but is not required to, establish a Threshold Goal with respect to any designated Performance Period.
Threshold Goal means, as to either TSR or ROCE, the minimum performance level that the Company must achieve in order for fifty percent (50%) of the TSR Target Award or the ROCE Target Award, as the case may be, to vest and become nonforfeitable.

Examples of Threshold Goal in a sentence

  • If the Threshold Goal is obtained then each Participant who is a Covered Employee will be eligible for an incentive equal to 200% of the Targeted Award, subject to downward adjustment as provided in Section VIII.

  • No incentives shall be payable under this Plan to a Covered Employee unless the Threshold Goal is obtained.

  • If the Threshold Goal for the Performance Period is not achieved, the number of Earned PSAs shall be zero.

More Definitions of Threshold Goal

Threshold Goal means, as to either the minimum TSR or CAFD performance level that the Company must achieve in order for fifty percent (50%) of the TSR Target Award or the CAFD Target Award, as the case may be, to vest and become nonforfeitable.
Threshold Goal means the Adjusted CAFD Growth performance level that the Company must achieve in order for fifty percent (50%) of the Target Award to vest and become nonforfeitable.

Threshold Goal means, as to either TSR or AEG, the minimum performance level that the Company must achieve in order for fifty percent (50%) of the TSR Target Award or the AEG Target Award, as the case may be, to vest and become nonforfeitable. “TSR” or “Total Shareholder Returnfor the Company, or any member of the Peer Group during the Performance Period, means the percentage (to the third decimal place) derived from a fraction the numerator of which is the change (positive or negative) in the average price of a share of the entity's publicly traded stock during the Performance Period based on comparing the average closing price of such share for the twenty (20) trading days preceding the first trading day of the Performance Period with the average closing price of such share for the twenty (20) trading days ending on the last trading day of the Performance Period, plus any dividends paid on the share during the period (assuming such dividends are reinvested into additional shares of such stock as of the ex-dividend date of such dividend), and the denominator of which is the price of the share at the close of business on the first trading day of the Performance Period. “TSR Target Award” has the meaning set forth in Section 1 hereof. 12.
