Specific Contracts definition

Specific Contracts means, for the purpose of any Continuing Document, the Hedging Agreements (other than SA Hedging Agreements).
Specific Contracts means the Account Bank Agreement, the Administration and Cash Management Agreement, the Collateral Switch Agreement, the Agency Agreement, the Swap Agency Agreement, the Note Trust Deed, the Security Trust Deed, the Portfolio Credit Swap, the Investment Agreement and any other contract that may, at any time, be entered into by the Issuer pursuant to a GIC Arrangement, the GIC Guarantee and the Subscription Agreement including, in each case, all rights to receive payment of any amounts payable or which may become payable or be distributed to the Issuer thereunder, all moneys, income, proceeds and other amounts payable and/or paid thereunder or with respect thereto, the benefit of all covenants relating thereto, all rights of action in respect thereof and all rights for enforcing the same and all payments received by the Issuer thereunder, including all rights to serve notices and/or make demands thereunder and/or to take such steps as are required to cause payments to become due and payable thereunder and all rights of action in respect of any breach thereof and all rights to receive damages or obtain other relief in respect thereof but excluding, for the avoidance of doubt, any obligations or liabilities of the Issuer thereunder.
Specific Contracts means each contract specified in Schedule 3 (Specific Contracts).

  • With respect to each Government Contract with the United States in existence as of the Closing Date (other than the Specific Contracts, Borrower will do all that is necessary, and use commercially reasonable efforts to cause the United States to do all that is necessary, to comply with the Federal Assignment of Claims Act and cause the assignment to Bank of Borrower’s interests in the Receivables arising from each such Government Contract to be completed on or before December 31, 2006.

More Definitions of Specific Contracts

Specific Contracts means any document, purchase order, service order, scope of services, financial proposal, quotation, statement, agreement, covenant or contract that has been accepted by Customer and that regulates the business, service or transaction that Schenker will provide to Customer which shall prevail over the terms and conditions, however, for those services or matters not regulated in the Specific Contract(s) this document shall apply.

Related to Specific Contracts

  • Project Contracts means collectively this Agreement, the Land Lease Agreement, the Construction Contract, O&M Contracts (if any) and any other material contract (other than the Financing Documents) entered into or may hereafter be entered into by the Concessionaire in connection with the Project;

  • Supply Contracts means contracts having as their object the purchase, lease, rental or hire-purchase, with or without an option to buy, of products. A supply contract may include, as an incidental matter, siting and installation operations;

  • Customer Contracts has the meaning set forth in Section 1.1(b)(ii)(A).

  • New Contracts means binding new agreements or amendments to existing agreements with customers.

  • Seller Contracts means all Contracts (i) relating to the Business under which Seller has or may acquire any rights or benefits, (ii) relating to the Business under which Seller has or may become subject to any obligation or Liability or (iii) by which any of the Purchased Assets or Assumed Liabilities is or may become bound.

  • Construction Contracts means the contracts between Lessee and Contractors for the furnishing of labor, services or materials to the Leased Premises in connection with the construction of the Improvements.

  • Executory Contracts means executory contracts and unexpired leases as such terms are used in 11 U.S.C. § 365, including all operating leases, capital leases, and contracts to which the Debtor is a party or beneficiary on the Confirmation Date.

  • Assumed Contracts has the meaning set forth in Section 2.1(d).

  • Assigned Contracts has the meaning set forth in Section 2.01(c).

  • Initial Contracts means those Contracts conveyed to the Trust on the Closing Date.

  • IT Contracts means all material agreements or arrangements (whether or not in writing and including those currently being negotiated) under which any third party (including, without limitation, any source code deposit agent) provides or will provide any element of, or services relating to, the IT Systems, including leasing, hire purchase, licensing, maintenance, website hosting, outsourcing, security, back-up, disaster recovery, insurance, cloud computing and other types of services agreements.

  • Scheduled Contracts has the meaning set forth in Section 4.16.

  • Business Contracts has the meaning ascribed to it in Section 1.01(a)(v).

  • Intellectual Property Contracts means all agreements concerning Intellectual Property, including without limitation license agreements, technology consulting agreements, confidentiality agreements, co-existence agreements, consent agreements and non-assertion agreements.

  • Contracts means all contracts, leases, subleases, arrangements, commitments and other agreements, whether written or oral, including, without limitation, all license agreements, customer agreements, vendor agreements, purchase orders, installation and maintenance agreements, computer software licenses, hardware lease or rental agreements.

  • Equipment Leases shall have the meaning set forth in Section 2.1(b) hereof.

  • EPC Contract means the Seller’s engineering, procurement and construction contract with the EPC Contractor.

  • CFD Contract or "CFD" shall mean a contract which is a contract for difference by reference to fluctuations in the price of the relevant security or index;

  • sub-contract means the primary contractor’s assigning, leasing, making out work to, or employing, another person to support such primary contractor in the execution of part of a project in terms of the contract;

  • IP Contracts means all Contracts pursuant to which a party hereto or any of its Affiliates grants or obtains any rights to use Intellectual Property (other than Contracts in which such Intellectual Property is incidental to such Contracts).
