  • Two (2) Business Days prior to such prepayment, the Company shall deliver to each holder of Notes in such Series of tranche a certificate of a Senior Financial Officer specifying such calculation of the Prepayment Settlement Amount applicable to such Series of tranche of Notes as of the specified prepayment date.

  • In the case of each prepayment of any Series or tranche of Notes pursuant to this Section 8, the principal amount of each Note to be prepaid shall mature and become due and payable on the date fixed for such prepayment, together with interest on such principal amount accrued to such date and the applicable Prepayment Settlement Amount, if any, or Make-Whole Amount, if any.

More Definitions of Settlement Amount

Settlement Amount means the amount in US$ equal to the sum of Losses, Gains, and Costs, which the Non-Defaulting Party incurs as a result of the termination of this Agreement.
Settlement Amount means, with respect to a Transaction and the Non-Defaulting Party, the Losses or Gains, and Costs, including those which such Party incurs as a result of the liquidation of a Terminated Transaction pursuant to Section 5.2.
