Series Assets definition

Series Assets means, at any particular time, all assets, properties (whether tangible or intangible, and whether real, personal or mixed) and rights of any type contributed to or acquired by a particular Series and owned or held by or for the account of such Series, whether owned or held by or for the account of such Series as of the date of the designation or establishment thereof or thereafter contributed to or acquired by such Series.
Series Assets shall have the meaning set forth in Section 4.1(a) of the Titling Trust Agreement.
Series Assets means, at any particular time, all assets, properties (whether tangible or intangible, and whether real, personal or mixed) and rights of any type contributed to or acquired by a particular Series and owned or held by or for the account of such Series, whether owned or held by or for the account of such Series as of the date of the designation or establishment thereof or thereafter contributed to or acquired by such Series. Series Designation has the meaning assigned to such term in Section 3.3(a). - 7 - Sourcing Fee means the sourcing fee which is paid to the Asset Manager as consideration for assisting in the sourcing of such Series Asset and as specified in each Series Designation, to the extent not waived by the Managing Member in its sole discretion.

Examples of Series Assets in a sentence

  • Title to any or all of the Series Assets may be held in the name of the relevant Series or one or more nominees, as the Managing Member may determine.

  • To the maximum extent permitted by law, each Member hereby waives any right to partition of the Company or Series Assets.

More Definitions of Series Assets

Series Assets means the Collateral and the other property, assets and/or rights of the Issuer so specified to be Series Assets in the Series Instrument for the relevant Series of Instruments and which have been charged, assigned, pledged and/or otherwise made subject to the security created by the Issuer in favour of the Trustee pursuant to the Series Instrument. The Series Assets shall have characteristics whereby, taken together, they demonstrate a capacity to produce funds to service the Issuer’s obligations to make payments due and payable under the Instruments.
Series Assets means in respect of a Series of Notes, the assets acquired by the Issuer with the proceeds of the issue of such Series of Notes in order to replicate, to the extent practicable the value and yield performance (before fees and expenses) of the relevant Index and any cash or rights received or to be received from time to time in respect of such assets.
Series Assets means all assets and property of a subtrust of the Trust acquired by the subtrust of the Trust pursuant to the related sale and servicing agreement.

For the avoidance of doubt, the Managing Member or any of its Affiliates shall be a Series Member to the extent it or they purchase Class A Shares in a Series.
