Examples of Agreements and Instruments in a sentence

• No filing with, or authorization, approval, consent, license, order, registration, qualification or decree of, any Governmental Entity, and no notice under, or consent pursuant to, any Agreements and Instruments, is necessary or required for the performance by Investview of its obligations hereunder, in connection with the offering, issuance, or sale of the Securities hereunder or the consummation of the transactions contemplated by this Purchase Agreement, except such as have been already obtained.

• Each of the Agreements and Instruments is in full force and effect and is valid and enforceable by and against the Company or any of the Subsidiaries, as the case may be, and, to the knowledge of the Company, the other parties thereto, in accordance with its terms, except as the enforceability thereof may be limited by bankruptcy, insolvency, reorganization, moratorium or similar laws affecting the enforcement of creditors' rights generally and by general equitable principles.

• There are no Agreements and Instruments that are required to be described in the Registration Statement, the General Disclosure Package or the Prospectus or to be filed as exhibits to the Registration Statement that have not been so described or filed or incorporated by reference as required.

• It has full power and authority (including, where applicable, full power and authority as an organization) to execute, deliver and perform its obligations under this Agreement and to execute, deliver and perform its obligations under each other agreement or instrument (the "Ancillary Agreements and Instruments") to which it is a party in connection with this Agreement.

• Schedule 4.12 sets forth a true and complete list of each Key Agreement and Instrument other than Key Agreements and Instruments filed as an exhibit to a Company SEC Report.

Agreements and Instruments has the meaning given to it in Section 7(30);
