Request for Redemption definition

Request for Redemption means a letter in the form specified by the General Partner. The General Partner may consent to Redemptions by a Limited Partner in any amount at any time. Upon Redemption, a Limited Partner (or a Substituted Limited Partner) shall receive from the Partnership for each Unit redeemed an amount equal to the Net Asset Value per Unit thereof (as defined in Section 6(d)(3)) as of the Redemption Date, prior to the beginning of trading on such day and prior to the accrual of any management fees, incentive fees, brokerage commissions, administrative fees, and interest, and less any amount owing by such Partner (and his assignee, if any) to the Partnership pursuant to Section 13(d). If a Redemption is requested by an assignee, all amounts owed to the Partnership under Section 13(d) by the Partner to whom such Unit was sold, as well as all amounts owed by all assignees of such Unit, shall be deducted from the Net Asset Value per Unit upon Redemption. The General Partner shall endeavor to pay Redemptions within 10 Business Days after the Redemption Date; provided, however, if the General Partner believes that extraordinary circumstances exist, including, but not limited to, the Partnership’s inability to liquidate any positions as of a Redemption Date, or a default or delay in payments due to the Partnership by one or more of the Trading Companies, or other significant administrative or other hardships exist (collectively, “Hardships”), the Partnership may in turn delay payment to Partners requesting Redemption of the proportionate part of the value of redeemed Units represented by the illiquid sum or sums which are the subject of such Hardships, in which even payment for Redemptions will be made to Limited Partners as soon as practicable following the resolution of such Hardships. Redemptions will be made by credit to the Limited Partner’s customer account with Xxxxxx Xxxxxxx Xxxxx Xxxxxx, or an affiliate or a subsidiary thereof, or by check mailed to the Limited Partner if the Limited Partner has no such account. The General Partner may, in its absolute discretion, waive any restrictions or charges applicable to Redemptions. Request for Redemption means a request for a redemption from an SPV security pursuant to the terms and conditions as set forth in this MOU and made substantially in the form of the Request for Redemption attached as Exhibit B to this MOU.
Request for Redemption means a letter sent by a Limited Partner (or assignee thereof) and received by the General Partner at least 10 days in advance of the date redemption is requested, which shall be the last day of the calendar month. In such request, the Limited Partner must represent and warrant that he is the true, lawful, and beneficial owner of the subject limited partnership interest with full power and authority to request the redemption and must further represent that such limited partnership interest is not subject to any encumbrances. The signature of the Limited Partner requesting the redemption must be guaranteed by a commercial bank or by a member of either a national securities exchange or the National Association of Securities Dealers, Inc. The General Partner may, in its sole discretion, waive any notice period or the requirement of a guaranteed signature, provided that, in the opinion of the General Partner, the Partnership will not be prejudiced by such action. Notwithstanding the foregoing, the General Partner may in its sole discretion from time to time cause the redemption of a Limited Partner’s interest in the Partnership upon 10 days’ prior written notice to the Limited Partner (or any assignee of such Partner’s interest), which notice shall specify the Redemption Date. With respect to all redemptions, payment will be made within 30 days after the Redemption Date, except that, under special circumstances including but not limited to the inability on the part of the Partnership to liquidate commodity positions as of such Redemption Date or default or delay in payments due the Partnership from commodity brokers, banks or other persons, the Partnership may delay payment to Partners whose interests are being redeemed.

Examples of Request for Redemption in a sentence

  • If the Secretary receives more than one Request for Redemption specifying the same redemption date, unless otherwise agreed between the Secretary and the Board, each request will be processed in the order it is received, and the sum specified in this paragraph will be calculated accordingly.

  • A properly addressed document or notice supporting a Request for Investment, Request for Redemption, Notice of Exclusive Control, waiver, payment, or any other transaction notice or other communication to the Secretary, the LLC, the Managing Member or the Secured Party shall be deemed to have been delivered if it is sent by means of an Approved Method of Electronic Delivery.

  • Example – Redemption of SPV security (not an Emergency Transfer): If an SPV security will be redeemed on Wednesday the 15th, the Fiscal Service must receive the Request for Redemption by 3:00 p.m. Eastern Time on Tuesday the 14th.

  • In accordance with Section E below, when honoring any Request for Redemption, the payment obligations of the Secretary are discharged when (x) principal and interest amounts are credited to the account specified by the LLC (in the case of a Request for Redemption validly provided by an Authorized LLC Official) or (y) principal and interest amounts are credited to the account specified by the Secured Party (in the case of a Request for Redemption validly provided by an Authorized Secured Party Official).

  • If an SPV security will be redeemed on Monday the 13th, the Fiscal Service must receive the Request for Redemption by 3:00 p.m. Eastern Time on Friday the 10th.

  • Notwithstanding anything to the contrary herein, the Secretary may comply with a Request for Investment, Request for Redemption, or other communication originated by the LLC or the Managing Member that was received by the Fiscal Service in accordance with this MOU prior to receiving the Notice of Exclusive Control in the event that the Secretary has initiated any actions necessary to comply and cannot reasonably halt such actions.

  • The SPV security is automatically rolled over each calendar day into a new one-day certificate with a Par amount equal to principal plus interest earned on the maturing security until a Request for Redemption is received, as further described below.

  • If a Request for Redemption is received by the Fiscal Service after 3:00 p.m. Eastern Time on Wednesday the 15th, the Request will be deemed to have been received on Thursday the 16th and the SPV security will redeem on the following Business Day, Friday the 17th.

  • In accordance with the Applicable MOU, the Secretary shall not be obligated to honor any Request for Redemption under any Applicable MOU for funds to be transferred on any specified date to the extent that the sum of (a) the dollar amount of such Request for Redemption plus (b) the applicable Net Aggregate Redemption Amount (as defined below) exceeds the corresponding Aggregate Redemption Limit as of such specified date.

  • All representations, certifications, and acknowledgements made by the Managing Member, the Secured Party, or an Authorized LLC or Secured Party Official in this MOU, any Request for Investment, any Request for Redemption, or other instrument delivered pursuant to this MOU, shall survive, as the case may be, the execution and delivery of this MOU, and the investment or redemption of any security pursuant to this MOU.


More Definitions of Request for Redemption

Request for Redemption means a request by an Employee Shareholder for redemption of Shares in the form found on the Ministry's website;
Request for Redemption means a written request of such withdrawal transmitted by the Limited Partner (or any assignee thereof) to the General Partner not less than ten business days prior to the end of the month or such shorter period as established by the General Partner. Upon Redemption, a Limited Partner (or any assignee thereof) shall receive, per Unit redeemed, an amount equal to the Net Asset Value per Unit as of the Redemption Date, less any amount owing by such Limited Partner (and his assignee, if any) to the Partnership pursuant to Article 15.3, and less any applicable redemption fees due to the General Partner. All Requests for Redemption in proper form shall be honored and payment will be made within twenty (20) business days following the Redemption Date, except that under special circumstances, including, but not limited to, the inability on the part of the Partnership to liquidate commodity positions or the default or delay in payments due the Partnership from commodity brokers, banks, or other persons, the Partnership may delay payment to Partners requesting Redemption of Units. In the event that Redemptions are requested for more Units than the General Partner is able to honor due to the foregoing contingencies, the General Partner will honor Requests for Redemption in the order actually received and will hold Requests for Redemption in such order. Limited Partners will be notified within 10 days after month-end if any Redemption cannot be honored under the terms hereof and their Requests thereafter will be honored at the first available opportunity. The Partnership shall not be obligated to redeem Units that are subject to a pledge or otherwise encumbered in any fashion.
