CSXT shall commence its work under this Agreement following: (i) delivery to CSXT of a notice to proceed from Agency; (ii) payment of Reimbursable Expenses (as provided by Section 4.1) as required by CSXT prior to the commencement of work by CSXT; (iii) issuance of all permits, approvals and authorizations necessary or appropriate for such work; and (iv) delivery of proof of insurance acceptable to CSXT, as required by Section 9.
XXXXX’S shall pay Service Provider for all undisputed fees, charges and Reimbursable Expenses within ninety (90) days from the date of receipt of each invoice.
Termination of this Agreement or Work on the Project, for any reason, shall not diminish or reduce Agency’s obligation to pay CSXT for Reimbursable Expenses incurred in accordance with this Agreement.
Service Provider shall send XXXXX’S a detailed invoice (referencing the applicable XXXXX’S purchase order number for which the invoice is being submitted) each month complete with all of the documentation necessary to support the amounts shown on the invoice for the Services performed, and any Reimbursable Expenses incurred during the prior month and applicable Taxes (as hereinafter defined), each as a separate line item.
Upon termination pursuant to this subsection 6b, Service Provider shall be entitled to payment for Services properly performed and reimbursement of Reimbursable Expenses incurred prior to the effective date of such termination.
